Printing Expenses definition

Printing Expenses means expenses of the physical creation of Designated Portfolio Documents, and not of their distribution to Contract owners (including, without limitation, mailing and postage expenses) or the provision of other services. Each time there is a Document Event with respect to a Designated Portfolio Document we shall, at your option, provide you with one of the following:

Printing Expenses means expenses of the physical creation of Designated Portfolio Documents, including without limitation (i) book fees (the cost of combining multiple materials/reports sent to individual policy holders into a single book), (ii) processing fees (the cost to household mailings), (iii) image fees, (iv) perfect bind covers (for books with a page count greater than 104 images), (v) taxes, and other, similar expenses, but not expenses of their distribution to Contract owners (including, without limitation, mailing and postage expenses) or the provision of other services. Each time there is a Document Event with respect to a Designated Portfolio Document we shall, at your option, provide you with one of the following:

Printing Expenses means all out-of-pocket fees, costs and expenses incurred by Conexant in connection with the filing, printing and mailing of the Form S-4 and the Proxy Statement/Prospectus (each as defined in the Merger Agreement).
