Examples of Registration Expenses in a sentence
The Company will pay all Registration Expenses in connection with each registration of Registrable Securities pursuant to this Section 8.3, but the holders of Registrable Securities shall pay any and all underwriting commissions and the expenses of any legal counsel selected by them to represent them in connection with the sale of the Registrable Securities, except as set forth in Section 8.6.
The Company shall pay all Registration Expenses relating to the registration and listing obligations set forth in this Section 8.
Registration Expenses shall not include any underwriting discounts and commissions which may be incurred in the sale of any Registrable Securities and transfer taxes of the selling holders of Registrable Securities.
All Registration Expenses incurred in connection with registrations pursuant to this Article VII shall be borne by the Company.
Notwithstanding anything to the contrary in this Agreement, (i) the Company may effect any Underwritten Registration pursuant to any then effective Registration Statement, including a Form S-3, that is then available for such offering and (ii) the Company shall be responsible for the Registration Expenses incurred in connection with a Registration pursuant to a Demand Registration prior to its withdrawal under this subsection 2.1.5.
