As of the date hereof, without giving effect to the Closing, the authorized capital stock of the Company consists of 200,000,000 shares of common stock, par value $0.001 per share (“Common Stock” or “Common Shares”), 1,000,000 shares of Series C Preferred Stock and 18,000,000 shares of Series D Preferred Stock.
Investor wishes to purchase, and the Company agrees to sell, 2 shares of Company’s Series D Preferred Stock (the “Shares”) for $10,000 total consideration (the “Purchase Price”).
