Company Systems definition

Company Systems means the computer systems, including Software, hardware, networks, databases, systems, telecommunications equipment and websites (and all information transmitted thereby or stored therein), owned, leased, licensed or otherwise used or held for use by the Company and its Subsidiaries in the conduct of their respective businesses.
Company Systems has the meaning set forth in Section 3.12(h).
Company Systems means all computer, hardware, software, systems, and equipment (including embedded microcontrollers in non-computer equipment) embedded within or required to operate the current products of the Company and the Subsidiaries, and/or material to or necessary for the Company and the Subsidiaries to carry on their businesses as currently conducted.

  • To the Knowledge of Sellers, in the 12 months immediately prior to the date of this Agreement, (i) there have been no material failures, breakdowns or other adverse events materially affecting any such Company Systems that have caused a material disruption or interruption to the conduct of the business of the Company and its Subsidiaries as currently conducted, and (ii) there have not been any material incidents of unauthorized access or other security breaches of the Company Systems.

  • The Security Program and the implementations of such Security Program: (i) identifies internal and external risks to the security of Company Systems and Sensitive Data; and (ii) complies with all applicable Privacy Laws.

  • Public Company and each of its subsidiaries have taken commercially reasonable actions to protect the confidentiality, security and integrity of the Company Systems, have implemented and maintain commercially reasonable back-up, disaster recovery and business continuity procedures for the Company Systems, and act in compliance therewith.

  • The Company Systems are sufficient and in good working condition for the needs of Public Company and each of its subsidiaries.


More Definitions of Company Systems

Company Systems means the refined petroleum product, crude oil, natural gas, liquefied natural gas, natural gas liquid and other pipelines, lateral lines, pumps, pump stations, storage facilities, terminals, processing plants, and other related operations, assets, machinery and equipment that are owned by the Company or any of its Subsidiaries or used for the conduct of the business of the Company or any of its Subsidiaries as it is presently conducted.
Company Systems has the meaning set forth in Section 4.07(f).
Company Systems means all Software (including Company Products), computer hardware (whether general or special purpose), information technology, electronic data processing, information, record keeping, communications, telecommunications, networks, interfaces, platforms, servers, peripherals, and computer systems (including any outsourced systems and processes) that are owned, leased, licensed or used by or for, or otherwise relied on by, the Company or its Subsidiaries in the conduct of their businesses.
Company Systems means Systems owned, leased or licensed by and operated by, or on behalf of, the Company or its Affiliates.
Company Systems means all computer and information technology systems, platforms and networks owned or used by any Group Company (whether outsourced or not);
Company Systems shall have the meaning specified in Section 4.15.
Company Systems means all Software and all computer hardware, servers, networks, platforms, peripherals, data communication lines, and other information technology equipment and related systems, including any outsourced systems and processes.
