Business Software definition

Business Software means with respect to a Licensor, all Software to the extent Controlled by such Licensor or any of its Affiliates as of the Effective Date, which Software is reasonably required as of the Effective Date for the conduct of (i) the Agriculture Business if the Licensee is AgCo, including as listed on section (i) of Schedule Q, or (ii) the Materials Science Business if the Licensee is MatCo, including as listed on section (ii) of Schedule Q, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee and its Affiliates have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.
Business Software means any and all proprietary Software owned by (or purported to be owned by) Seller that is related to the businesses of Seller, other than the VGX Token Smart Contracts.
Business Software means with respect to a Licensor, all Software (to the extent Controlled by such Licensor or any member of its Group as of the Effective Date), including all Know-How and Copyrights therein (but not in respect of any data included in any databases), that is used or held for use in, as of the Effective Date, the conduct of (i) the Spinco Business if the Licensee is Spinco, or (ii) the Remainco Business if the Licensee is Remainco, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee or any member of its Group have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.

  • In no case shall the Business Software Alliance (BSA), Software Publishers Association (SPA), Software and Industry Information Association (SIIA) or Federation Against Software Theft (FAST) be used directly or indirectly to conduct audits, or be recommended by Contractor; (iv) Contractor and Licensee are each entitled to designate a representative who shall be entitled to participate, and who shall mutually agree on audit format, and simultaneously review all information obtained by the audit.

  • Payment shall be made in United States Currency by credit card, check, or bank wire transfer for the exact aforementioned amount made payable to “STANFORD BUSINESS SOFTWARE, INC.” Payment shall be sent with one fully completed executed copy of this Agreement electronically or mailed to Stanford Business Software, Inc., P.O. Box 60398, Palo Alto, CA 94306-0398, USA.

  • Payment shall be made in United States Currency in the form of a check (or bank wire transfer) for the exact aforementioned amount made payable to “STANFORD BUSINESS SOFTWARE, INC.” Payment shall be sent with one fully completed copy of this Agreement to: Stanford Business Software, Inc.


More Definitions of Business Software

Business Software means all Software that both (a) is owned or purported to be owned by Seller Parent or its Subsidiaries and (b) is Related to the Business.
Business Software means with respect to a Licensor, all Software to the extent Controlled by such Licensor or any of its Affiliates as of the Effective Date, which Software is reasonably required as of the Effective Date for the conduct of (i) the Agriculture Business if the Licensee is AgCo, including as listed on section (i) of Schedule I , or (ii) the Specialty Products Business if the Licensee is SpecCo, including as listed on section (ii) of Schedule I , in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee and its Affiliates have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.
Business Software has the meaning set forth in Section 4.15(f).
Business Software has the meaning specified in Section 5.11(b).
Business Software means all material Software either owned by the Companies or used in connection with the Business (whether owned by the Seller Parties or licensed from any other Person).
Business Software means all software developed for, developed by or owned by Seller in connection with the Business, including all enhancements, versions, releases and updates of such software, but excluding products incorporated therein which are licensed to Seller by third parties.
Business Software means the Purchased Seller Software, the Included Seller Software, the Acquired Third Party Software and the Purchased Third Party Software.
