Company IT Systems definition

Company IT Systems means all software, computer hardware, servers, networks, platforms, peripherals, and similar or related items of automated, computerized, or other information technology networks and systems (including telecommunications networks and systems for voice, data, and video) owned, leased, licensed, or used (including through cloud-based or other third-party service providers) by the Company or any of its Subsidiaries.
Company IT Systems means any and all IT Systems owned, leased, or licensed by the Company that are used (or held for use) in or in connection with the business of the Company.
Company IT Systems shall have the meaning ascribed to such term in Section 3.1(qq).

Examples of Company IT Systems in a sentence

  • The Company Group (and, with respect to the Business, Parent, Seller or its Affiliates other than the Group Companies) has taken commercially reasonable measures, consistent with current industry standards, to protect the confidentiality, integrity and security of the Company IT Systems (and all information and transactions stored or contained therein or transmitted thereby) against any unauthorized use, access, interruption, modification or corruption.

  • The Company Group has implemented and maintains commercially reasonable safeguards designed to prevent the introduction of Contaminants into the Proprietary Software, Company Products and the Company IT Systems.

  • The Company and its Subsidiaries have implemented and maintained commercially reasonable security regarding the confidentiality, integrity and availability of Company IT Systems, Personal Information and sensitive or proprietary information in their possession or under their custody or control.

  • Since April 1, 2019, the Company IT Systems have (i) operated and performed in all material respects in accordance with their documentation and functional specifications, (ii) have not materially malfunctioned or failed in a manner that resulted in material disruptions to the operation of the Business and (iii) are adequate in all material respects for their intended use and for the operation of the Business.

  • The Company and its Subsidiaries take, and have taken, commercially reasonable actions and measures consistent with industry standards to protect and maintain the security of the Company IT Systems and Company Software (and all data stored therein or transmitted thereby).

Company IT Systems has the meaning set forth in Section 3.30 hereof.
Company IT Systems means all computer and information technology systems, platforms and networks owned by the Company or any Company Subsidiary or used or held for use in the conduct of any business of the Company or any Company Subsidiary, as currently conducted and as currently proposed to be conducted, including Company Software, Software, hardware, data processing, data, information, record keeping, communications, telecommunications, networks, network equipment, information technology, mobile and other platforms, peripherals computer systems, and computerized, automated, or other similar systems, platforms, and networks, in each case, whether outsourced or not, as well as data and information stored or contained in, or transmitted by, any of the foregoing, and documentation relating to any of the foregoing.
Company IT Systems has the meaning set forth in Section 4.08(j).
Company IT Systems shall have the meaning set forth in Section 4.19(j).
Company IT Systems means all computer software and code, computer hardware, servers, networks, platforms, peripherals, and similar or related items of automated, computerized, or other information technology (IT) networks and systems (including telecommunications networks and systems for voice, data, and video) owned, leased, licensed, or used (including through cloud-based or other third-party service providers) by the Company or any Company Subsidiary.
Company IT Systems has the meaning set forth in Section 5.03(t)(iii).
Company IT Systems means all information technology and computer systems (including Computer Software, information technology and telecommunication hardware and other equipment) relating to the transmission, storage, maintenance, organization, presentation, generation, processing or analysis of data and information whether or not in electronic format, used in or necessary to the conduct of the business of the Company.
