Company Business definition

Company Business means any business in which the Company or any Subsidiary or other Affiliate is: (x) engaged in during the term of the Grantee’s Business Relationship; or (y) any business in which the Company or any Subsidiary or other Affiliate has undertaken material substantive steps to engage within the twelve (12) month period prior to such Termination, so long as with respect to both prongs (x) and (y) of this sentence, the Grantee had responsibilities with respect to, or Confidential or Proprietary Information about, such business (or anticipated business) prior to the Termination. Without limiting the foregoing, the Company Business shall be deemed to include the well completion and servicing business (including, without limitation, hydraulic fracturing, coiled tubing, pressure pumping, wireline, cementing, pressure testing, pump-down, perforating, pipe recovery and other complementary services), petroleum engineering services (including without limitation services in connection with hydraulic fracture stimulation and reservoir engineering), directional drilling and production services.
Company Business has the meaning set forth in Section 7(a).
Company Business means any business related to a service or product offered by the Company and/or any of its affiliates during the two-year period immediately preceding the Grantee’s termination date that Grantee engaged in or rendered any consultation or business advice or other services with respect to, during Grantee’s employment with the Company and/or any of its affiliates.

Examples of Company Business in a sentence

  • If receipt of the proceeds of realisation and/or the payments under the Swap (if applicable) is delayed the repurchase of the Certificates will be effected within two Company Business Days of receipt thereof by the Issuer.

  • If a Certificateholder or Certificateholders request repurchase by the Dealer and the Dealer requests the Issuer to repurchase on no less than one Company Business Day’s notice, the Issuer may agree in its sole discretion to repurchase one or more Certificates on a Company Business Day (each, a “Purchase Date”).

  • Payment will be made to the Certificateholders two Company Business Days after the Purchase Date (or such other number of days specified in the Final Terms), subject to the Issuer having received the proceeds of realisation of the Shares and/or the payments under the Swap (if applicable) one Company Business Day after such Purchase Date.

  • Conduct a regular Category Strategy Analysis to identify existing diverse and small suppliers, the products and services offered, and match to the Company Business Units and sites.

  • If receipt of the proceeds of realisation of the Shares and/or the payments under the Swap (if applicable) is delayed the redemption of the Certificates will be effected within two Company Business Days of receipt thereof.


More Definitions of Company Business

Company Business means the business(es) engaged in by the Company, from time to time during the term of Executive’s employment with the Company, whether pursuant to this Agreement or otherwise; provided that, on the date of the termination of Executive’s employment with the Company, the Company Business shall be the business(es) engaged in by the Company during the Lookback Period.
Company Business means the business of the Company and its Subsidiaries as presently conducted.
Company Business shall refer to any arrangement or contract or relation of the Company or any subsidiary existing or actually pursued at the time of termination or expiration of the Agreement. The Executive undertakes and agrees that during the term of this Agreement and for a period of two years after the date of termination or expiration of this Agreement he will not compete, directly or indirectly, with respect to a Company Business or participate as a director, officer, employee, agent, consultant, representative or otherwise, or as a stockholder, partner or joint venturers, or have any direct or indirect financial interest, including, without limitation, the interest of a creditor, in any business competing with respect to a Company Business. Executive acknowledges that such prospects represent a corporate opportunity or are the property of the Company and Executive should have no rights with respect to such properties on projects. Executive further undertakes and agrees that during the term of the Agreement and for a period of one year after the date of termination or expiration of this Agreement he will not, directly or indirectly employ, cause to be employed, or solicit for employment any of Company's or its subsidiaries' employees. Notwithstanding the foregoing, the provisions of the Paragraph 7(a) shall not apply to termination by the Executive pursuant to Section 7(c) or by the Company without cause.
Company Business has the meaning given to such term in Section 4.02 hereof.
