Definition of Technology

  1. Technology means tangible embodiments, whether in electronic, written or other media, of technology, including designs, design and manufacturing documentation (such as bill of materials, build instructions and test reports), schematics, algorithms, routines, software, databases, lab notebooks, development and lab equipment, processes, prototypes and devices. Technology does not include Intellectual Property in any of the foregoing.
  2. Technology means any [***] conceived or generated solely by employees, agents or Service Providers of [***] or its Affiliates.
  3. Technology means the Materials and Know-how.

Technology means and includes all materials, technology, technical information, know-how, expertise and trade secrets within the Field owned by Optosonics or licensed to Optosonics as of the Effective Date, if any, which are conveyed to Endra during the term of this Agreement.
