XXXXXXX'X DUTIES. In addition to the minimum and general requirements of the Landlord, the Landlord also specifically agrees to the following duties:

XXXXXXX'X DUTIES. 2.1 In his capacity as BioMarin's Chief Executive Officer, Xxxxxxx shall perform all acts or services and do all things necessary or advisable to manage or conduct BioMarin's business, subject to the policies set by BioMarin's board of directors.
XXXXXXX'X DUTIES. In consideration of the promises made by Pegasystems in this Agreement, Xxxxxxx covenants and agrees as follows:
XXXXXXX'X DUTIES. Unless otherwise agreed to by the parties, Pezzola shall serve as General Counsel of DSPC, and to the extent requested by the Chairman of the Board of Directors of DSPC, as General Counsel for any and all subsidiaries of DSPC. For purposes of acting as an attorney for DSPC (or any of its subsidiaries), Pezzola shall owe his duties of loyalty and confidentiality directly to DSPC (or any of its subsidiaries). Pezzola shall devote such time in executing his duties as General Counsel as is deemed needed by the Chairman of the Board of Directors of DSPC. Pezzola shall not be required to devote his full time efforts to the Corporation or DSPC. It is intended that Pezzola will work part time, approximately thirteen (13) hours per week, and that he will serve as General Counsel of other entities and as an owner in an investment entity. Pezzola shall report directly to the Chairman of the DSPC Board of Directors. Xx. Xxxxxxx shall inform the Chairman of the DSPC Board of Directors of any other positions that he takes with any other entity, beyond the positions that he currently holds. Pezzola's duties shall be performed primarily in the San Francisco Bay Area, and more particularly, in either Cupertino or Oakland, California, at the option of Pezzola.
XXXXXXX'X DUTIES. Unless otherwise agreed to by the parties, Pezzola shall serve as General Counsel and Secretary of DSPC. Pezzola shall devote such time in executing his duties as General Counsel as is deemed needed by DSPC's Chairman of the Board of Directors. Pezzola shall not be required to devote his full time efforts to the Corporation or DSPC. It is intended that Pezzola will work the majority of his time, approximately thirty (30) hours per week, and that he will serve as General Counsel of entities other than DSPC, the Corporation, or their affiliates, and as an owner in an investment entity. Pezzola shall report directly to the Chairman of the Board of Directors of DSPC. Xx. Xxxxxxx shall also inform the Chairman of the DSPC Compensation Committee of any other positions that he takes with any other entity, beyond the positions that he currently holds. Pezzola's duties shall be performed primarily in the San Francisco Bay Area, and more particularly, in either Cupertino or Oakland, California, at the option of Pezzola.
XXXXXXX'X DUTIES. The Union shall be permitted one (1) Xxxxxxx. In the absences of the Xxxxxxx, the Chairperson or his/her designee may assume the Xxxxxxx'x duties. If the Chairperson designates an alternate xxxxxxx, the Chairperson shall notify the Director or designee in writing of that designation. Attorneys may be represented by the Xxxxxxx, or the Chairperson or his/her designee at any step of the Grievance Procedure, and at any disciplinary meeting, investigatory or otherwise, at which an attorney is required to be present. Meetings during working hours for the conduct of Union business will be restricted to attendance by the Xxxxxxx or the Chairperson or his/her designee. The aforementioned persons must notify their supervisor when using this provision in such a manner so as to not interfere with the immediacy of job requirements, unless properly relieved. The Union Xxxxxxx or Chairperson, or his/her designee, shall be permitted reasonable time to conduct union business in the Legal Department represented by this agreement. Abuse of these general provisions can lead to disciplinary actions, but whenever possible, abuses shall first be discussed in a labor- management meeting.
