Waiver of Notice Requirement. (i) Written Waiver, Consent or Approval. Notice of a special meeting need not be given to any member who, either before or after the meeting, signs a waiver of notice or a written consent to the holding of the special meeting, or an approval of the minutes of the special meeting. Such waiver, consent or approval need not specify the purpose of the special meeting. All such waivers, consents, and approvals shall be filed with the Joint Planning Board records or made a part of the minutes of the special meetings.
Waiver of Notice Requirement. Each of the Company and the Manager hereby (i) agree that this Amendment constitutes all required notice of termination of the Management Agreement pursuant to the terms of the Management Agreement, and (ii) waives, whether exercisable now or at any time in the future, any and all rights to notice under the Management Agreement, to the extent relating to the transactions contemplated by this Amendment or the Merger Agreement.
Waiver of Notice Requirement. The 10 Business Days' prior notice required under Section 2.27.1 of the Credit Agreement with respect to a Commitment Increase is hereby waived.
Waiver of Notice Requirement. The parties hereto agree that the Company’s notice requirements set forth in Section 2.24(a) of the Credit Agreement are hereby waived and shall not be applicable to the Extension.
Waiver of Notice Requirement. Administrative Agent and Lenders hereby waive the 45 day written notice requirement set forth in Section 2.2(a) to the Existing Credit Agreement in connection with Borrower’s proposal to increase the Commitments, which increase shall become effective as of the Effective Date in accordance with the terms of this Amendment.
Waiver of Notice Requirement. Attendance of a Member at any meeting shall constitute a waiver of notice of such meeting, except where a Member attends a meeting for the express purpose of objecting to the transaction of any business on the ground that the meeting is not lawfully called or convened, and such Member raises such objection promptly following the start of the meeting.
Waiver of Notice Requirement. The parties waive any advance notice requirement that otherwise would apply to the transfer by Lupixx xx the Shares to the Partnership.
Waiver of Notice Requirement. A. By executing this Amendment the Requisite Lenders hereby waive the requirements of Section 2.24 of the Credit Agreement solely relating to the 10 Business Days notice period with respect to any utilization of New Term Loan Commitments in an aggregate amount of up to $30,000,000 no later than August 31, 2006.
Waiver of Notice Requirement. The Borrower and Administrative Agent hereby waive, solely for the purpose of this Amendment, any notice, timing or other requirement of the Credit Agreement (including, without limitation, pursuant to Section 2.11(a) of the Credit Agreement) with respect to the extension of the Revolver Stated Termination Date contemplated hereby. The parties hereto agree that the execution and delivery of this Amendment and the documents delivered in connection with the Seventh Amendment Effective Date under Section 4 hereof shall constitute notice and full satisfaction of Sections 2.10(b) and (e) of the Credit Agreement. Solely for the purposes of the extension of the Revolver Stated Termination Date contemplated by this Amendment, the notice requirement set forth in Section 4.1(c) of the Credit Agreement for terminating the Revolving Commitment of any Revolving Lender that does not consent to such extension is deemed satisfied by the delivery of a letter by the Borrower to the Administrative Agent and Revolving Lender whose Revolving Commitment is being so terminated.
Waiver of Notice Requirement. Upon application and for good cause shown, the Commission may, by order, provide that a rate schedule, tariff, or service agreement, or part thereof, shall be effective as of a date prior to the date of filing or prior to the date the rate schedule or tariff would be- come effective in accordance with these rules. Application for waiver of the prior notice requirement shall show (a) how and the extent to which the filing public utility and pur- chaser(s) under such rate schedule or tariff, or part thereof, would be af- fected if the notice requirement is not waived, and (b) the effects of the waiv- er, if granted, upon purchasers under other rate schedules. The filing public utility requesting such waiver of notice shall serve copies of its request there- for upon all purchasers.
