Board Records definition

Board Records means the records described in paragraph 20(2)(a) and (b) of the Act, but does not include the records described in paragraph 24(2)(a) of the Act;
Board Records means the minutes of each meeting of directors, including (i) the list of all of the directors at the meetings, and (ii) the text of each resolution voted on at the meeting, and a copy of each consent resolution of directors and copy of each of the consents to that resolution, and includes the Accounting Records, but does not include a disclosure by a director or officer of a direct or indirect conflict of interest as provided by section 24(2)(a) of the Societies Act;

  • Participant’s records means the records prepared and maintained by the Contractor (in whatever form or storage media) concerning an individual Participant.

  • Periodic Reports means the Company’s (i) Annual Report on Form 10-K for the fiscal year ending December 31, 2024, (ii) any current report to be filed on Form 10-Q for each calendar quarter in 2023 and beyond, and (iii) all other reports required to be filed by the Company with the Commission under applicable laws and regulations (including, without limitation, Regulation S-K) for so long as any amounts are outstanding under this Debenture or any Other Debenture; provided that all such Periodic Reports shall include, when filed, all information, financial statements, audit reports (when applicable) and other information required to be included in such Periodic Reports in compliance with all applicable laws and regulations.

  • SEC Filings has the meaning set forth in Section 4.6.

  • Account Records is defined in Section 1(a)(i) of the Administration Agreement.

  • Company Financials means the Audited Financial Statements and the Interim Financial Statements.

  • Disclosure Record means the Company’s prospectuses, annual reports, annual and interim financial statements, annual information forms, business acquisition reports, management discussion and analysis of financial condition and results of operations, information circulars, material change reports, press releases and all other information or documents required to be filed or furnished by the Company under Applicable Securities Laws which have been publicly filed or otherwise publicly disseminated by the Company;

  • SEDAR means the System for Electronic Document Analysis and Retrieval;

  • NAIC Annual Statement is defined in Section 6.2(a).

  • Business Records means all files, documents, instruments, papers, books, reports, records, tapes, microfilms, photographs, letters, ledgers, journals, financial statements, technical documentation (design specifications, functional requirements, operating instructions, logic manuals, flow charts, etc.), user documentation (installation guides, user manuals, training materials, release notes, working papers, etc.), Tax Returns, other Tax work papers and files and other documents in whatever form, physical, electronic or otherwise.

  • Computer Records means the computer records generated by the Servicer that provide information relating to the Loans and that were used by the Originator in selecting the Loans conveyed to the Trust Depositor pursuant to Section 2.01 (and any Substitute Loans conveyed to the Trust Depositor pursuant to Section 2.04).

  • Accounting Records means the general ledger and subsidiary ledgers and supporting schedules which support the general ledger balances.
