This Upgrade CSA shall terminate upon the later of the following: (i) completion of construction of all Direct Assignment Facilities and/or Customer-Funded Upgrades identified in Appendix I to this Upgrade CSA; (ii) final payment of all Costs due and owing under this Upgrade CSA; and (iii) termination of all rights provided under this Upgrade CSA.
