Transferred Equipment. Each component of the Transferred Equipment has been maintained in accordance with normal industry practice and in accordance with all practices required by the FDA or other Governmental Bodies, is adequate and suitable in all respects for its intended use and is in good and safe operating condition and repair.

Transferred Equipment. “Transferred Equipment” means all tangible machinery, equipment, vehicles, tools, supplies, accessories, materials, office equipment, furniture and IT Assets that are owned by, or licensed or leased to, the Seller or any of its Subsidiaries (other than the Company) and used or held for use in, or primarily related to, the Business, including those items set forth on Section 1.234 of the Seller Disclosure Schedule.

All of Cricket’s right, title, and interest in and to any Equipment that remains located at the Site (the “Transferred Equipment”) shall be deemed to be automatically transferred to Lessor free and clear of all liens and encumbrances, as of November 9, 2015 (the “Transfer Date”). Lessor shall be solely responsible for, and shall pay, any and all taxes, including sales/use/property taxes that may be due in connection with the transfer of the Transferred Equipment. Lessor agrees to assume all of the rights and obligations of Cricket, including removal, for the Transferred Equipment.
Transferred Equipment. Except as set forth in Schedule 3.7 of Seller's Disclosure Schedules or as indicated on Exhibit 2.1(a)(iii), (a) as of the date of this Agreement, each material item of Transferred Equipment is in good repair and good operating condition suitable for its current use, ordinary wear and tear excepted and (b) all Transferred Equipment used in connection with the operation of the Purchased Assets is in the possession of Seller or its Affiliates.
