Staff and Personnel. Subject to the provisions of Section 2.8.1 respecting Strategic Plans and approval of Owner or Owner's designated representative, Operator shall have the authority to select, hire, compensate, control and discharge (when deemed appropriate by Operator) those persons, firms or corporations which are required to satisfy its obligations under this Agreement. Operator shall keep Owner informed of any plans to change either the Operator officer responsible for any of Owner's Generation Facilities or the Operator manager of such Generation Facility. Any input from Owner on such plans will be considered by Operator, but Operator's decisions on personnel matters shall be final. Operator shall also consider any positive or negative comments from Owner regarding the performance of any of Operator's officers or managers, but management decisions on whether to take personnel or salary administration actions shall be made solely by Operator.

Subject to the provisions of Section 3.2.1(v) respecting Strategic Plans, Southern Nuclear shall select, hire, compensate, control, and discharge (when deemed appropriate by Southern Nuclear) those persons required to satisfy its obligations under this Agreement; provided, however, that the Managing Board shall review and provide input to Southern Nuclear prior to the replacement of any Southern Nuclear officer having responsibility for only Plant Hatch, only Plant Vogtle, or only Plants Hatch and Vogtle or the General Manager of Each Plant assigned to such positions, respectively, on the Effective Date and each successor to such replacement, in accordance with Section 5.1.2 of the Nuclear Managing Board Agreement. Southern Nuclear shall consider any comments from the Participants regarding the performance of any of Southern Nuclear's personnel, but management decisions on whether or not to take personnel or salary administration actions shall be made by Southern Nuclear in its sole discretion. Southern Nuclear shall maintain in effect at all times after the Effective Date an incentive compensation plan for its employees who are engaged in services for Each Plant relating to compliance with NRC regulations which plan shall have nominal funding, shall be comparable to other similar plans in use in the electric utility industry, and shall address those areas with the greatest potential for noncompliance. .2
Staff and Personnel. Rep may employ a staff and sales personnel in connection with the performance of this Agreement, provided such employment is approved in writing by Xxxxx Xxxxxxx and shall be made at Rep’s own risk, cost and expense. Rep shall indemnify and hold harmless the Company from and against any and all claims, proceedings damages, costs, expenses, losses and liabilities arising out of or connected with the relationships (whether they are employment relationships or not) with any member of the above staff and sales personnel. Rep is solely responsible for any and all acts or omissions of its employees, contractors and agents except to the intent such acts are undertaken at the direction of the Company.
Staff and Personnel. Project Executive. The site organization shall be headed by the Project Executive. The Parties shall agree upon the key technical and administrative staff that shall be made available by the Parties to the Joint Venture. All other personnel and labor shall be engaged and discharged directly by the Joint Venture. IIC shall provide the expertise and local support personnel for operations at the port transfer facility at the sole cost and expense of the Joint Venture.
