The Managing. Broker Dealer agrees to promptly notify the Issuer of the commencement of any litigation or proceedings against the Managing Broker Dealer or any of the Managing Broker Dealer’s managers, members, officers, directors, partners, employees, affiliates, attorneys, accountants, or agents in connection with the Offering of the Securities or in connection with the Offering Circular.
The Managing. Director may debar a bidder or Contractor of any procuring agency from participating in any public procurement process of all or some of the procuring agencies for such period as the Managing Director may determine.
The Managing. General Agent has the authority to receive and receipt for premiums and to retain commissions out of such collected premiums subject to the terms and conditions of this Agreement.
The Managing. Director may direct the employee to absent themselves from the workplace, subject to giving the employee one calendar months’ notice where the employee and their manager do not agree on a leave usage plan under clause 26.9.
The Managing. Director undertakes to employ the best of his skill and ability to make his utmost endeavours to promote the interests and welfare of the Company and to conform to and comply with the directions and regulations of the Company and all such orders and directions as may be given to him from time to time by the Board.
The Managing. General Agent acknowledges and agrees that the Company’s appointment of the Managing General Agent does not restrict in any manner the Company’s right to appoint agents writing any lines of insurance the Company writes through any other agent, sub-agent or managing general agent either direct to the Company or through other agents.
The Managing. General Agent shall bear sole responsibility to oversee the proper licensing of any Agents(s). Should any fines be levied against the Company as the result of the Managing General Agent accepting business from an unlicensed Agent, the Managing General Agent shall hold the Company harmless and reimburse the Company for any and all expenses so incurred including, but not limited to, legal fees, fines and travel expenses.
The Managing. General Agent shall promptly report to the Company any and all claims involving lawsuits where the Company is named as soon as the Managing General Agent has been made aware of such claims, losses and lawsuits by any party, and shall cooperate fully with the Company to facilitate reporting, investigation, and adjustment of any claim, loss or lawsuit when and as requested by the Company.
The Managing. Director is exempt from the prevailing pension scheme of the Company. In this respect the Managing Director shall sign the waiver attached to this agreement as Annex 2.
The Managing. Director is entitled to a bonus (gross, before tax) in the rate of 25% of the operational profit of the mutual company (as defined herewith: the income of the mutual company, all operational expenses being deducted and prior to financing expenses) during the 4 (four) first complete quarters after the determining date, which is over $500,000 (five hundred thousand US Dollars)( for example, if the operational profit in the end of the four quarters will be, as aforementioned, $1,000,000- the Managing Director will be entitled that year to a bonus of $125,000).
