Secondment Fee. (a) The General Partner shall pay to Hess an annual fee, payable in equal monthly installments, that will reflect the costs incurred by Hess with respect to its employment of the Seconded Employees (the “Secondment Fee”). The Parties acknowledge and agree that the Secondment Fee is intended to cover the total cost of employing the Seconded Employees during the Period of Secondment (the “Total Services Costs”) to the extent such Total Services Costs are attributable to the provision of the Employee Functions. Hess shall determine in good faith the percentage of the Total Services Costs that are attributable to the provision of the Employee Functions by the Seconded Employees to the General Partner based on Xxxx’x then-current corporate transfer pricing policies, as generally applied in a non-discriminatory manner. To the extent that the amount of any cost or expense, once known, varies from the estimate used for determining the Secondment Fee hereunder, the difference, once determined, shall be added to or subtracted from the Secondment Fee for the following year.

Secondment Fee. 4.1 During the Secondment Period, the Recipient shall pay to the Employer in arrears each calendar month a secondment fee (plus VAT thereon) of such sum as is notified to the Recipient by the Employer as being the costs of employing the Employee during the relevant calendar month in accordance with the Contract of Employment including, but not limited to, wages and salaries, pension contributions, benefits, tax and National Insurance contributions and employee related overheads and expenses (plus VAT thereon). Each monthly secondment fee (plus VAT) shall be payable by the Recipient to the Employer within 7 days of an invoice being submitted to the Recipient by the Employer.

Hess shall determine in good faith the percentage of the Total Services Costs that are attributable to the provision of the Employee Functions by the Seconded Employees to the General Partner based on Xxxx’x then-current corporate transfer pricing policies, as generally applied in a non-discriminatory manner or based on such other reasonable cost allocation methodology as Hess shall determine.
Secondment Fee. (A) Subject to Section 8.1(j)(iii), Buyer shall pay to Seller a secondment fee equal to the cash compensation and the fringe benefit rate Exhibit 2.01 (which, for the avoidance of doubt, equals thirty one and one-half percent (31.5%) of the respective Milestone Employee’s base salary as in effect immediately before the Closing Date) applicable to the Milestone Employees (excluding any amounts with respect to equity grants, bonus payments for the 2012 year under Seller’s Annual Incentive Plan and any amounts with respect to post-retirement benefits) paid or provided to the Milestone Employees to the extent not in excess of the level of compensation payable to and the fringe benefit rate applicable to the Milestone Employees as in effect immediately prior to the Closing; provided, however, that Buyer shall only be responsible for severance benefits arising from the termination of the employment of a Milestone Employee as a result of a request by Buyer to end such Milestone Employee’s secondment for reasons which, if asserted by Seller or its Affiliates, would give rise to an obligation to pay severance under the Seller Severance Plan as in effect as of the date of this Agreement (in which case Seller shall, and shall cause its Affiliates to, include Buyer and its Affiliates as released parties in any release obtained from the Milestone Employee in connection with such severance).

  • Property Management Fee For its services in managing the day-to-day operations of the Property in accordance with the terms of this Agreement, Company shall pay to Property Manager an annual property management fee (the “Property Management Fee”) equal to 4.0% of the Gross Revenue (as hereinafter defined). The Property Management Fee shall be prorated for any partial year and shall be payable in equal monthly installments, in advance. The Property Management Fee shall be payable on the first day of each month from the Operating Account or from other funds timely provided by the Company. Upon the expiration or earlier termination of this Agreement, the parties will prorate the Property Management Fee on a daily basis to the effective date of such expiration or termination. For purposes of this Agreement, the term “Gross Revenue” shall mean all gross collections from the operations of the Property, including, without limitation, rental receipts, late fees, application fees, pet fees, damages, lease buy-out payments, reimbursements by Tenants for common area expenses, operating expenses and taxes and similar pass-through obligations paid by Tenants, but shall expressly exclude (i) security deposits received from Tenants and interest accrued thereon for the benefit of the Tenants until such deposits or interest are included in the taxable income of the Company; (ii) advance rents (but not lease buy-out payments) until the month in which payments are to apply as rental income; (iii) reimbursements by Tenants for work done for a particular Tenant; (iv) proceeds from the sale or other disposition of all or any portion of the Property; (v) insurance proceeds received by the Company as a result of any insured loss (except proceeds from rent insurance or the excess of insurance proceeds for repairs over the actual costs of such repairs); (vi) condemnation proceeds not attributable to rent; (vii) capital contributions made by the Company; (viii) proceeds from capital, financing and any other transactions not in the ordinary course of the operation of the Property; (ix) income derived from interest on investments or otherwise; (x) abatement of taxes, awards arising out of takings by eminent domain and discounts and dividends on insurance policies; and (xi) rental concessions not paid by third parties.

  • Construction Management Fee The Construction Management Fee for the Project shall be either a ☒Lump Sum or ☐Not-To-Exceed Fee of Seven Thousand, Nine Hundred Ninety-Seven Dollars and Eighty Cents ($7,997.80). NOTE: Allowances will be on a Not-To-Exceed basis. All unused funds will be returned to the School District at the time of construction closeout.
