Released Parties definition

Released Parties means the Released Defendant Parties and the Released Plaintiff Parties.
Released Parties has the meaning set forth in Section 6.1.

  • If the proposed Settlement is finally approved, any potential Class Member who has not submitted a timely written request for exclusion on or before the Opt-Out Deadline shall be bound by all terms of the Agreement and the Final Order and Final Judgment, even if the potential Class Member previously initiated or subsequently initiates any litigation against any or all of the Released Parties relating to Released Claims.

  • This waiver and release extends to, but is not limited to, personal injury, property damage, disfigurement, paralysis, wrongful death, emotional distress, loss of consortium, loss of income or earning capacity, medical expenses, or any other damages, whether caused by the negligence of the Released Parties or otherwise, and regardless of the foreseeability or avoidability of such damages.

  • In addition, if Seller files a Plan, such Plan shall be consistent with this Agreement in all respects and will include releases and exculpation provisions in favor of Buyer Released Parties to the maximum extent permitted by law.

  • Employee shall pay the reasonable attorneys’ fees and costs that any of the Released Parties incurs in defending against any such released/waived claims.

  • I understand that I am giving up substantial legal rights, including the right to sue the Released Parties for damages in the event of injury or death resulting from my participation in the Activities.

Released Parties has the meaning specified in Section 5.02(e) of the Servicing Agreement.
Released Parties means the Deed Administrators, the Administrators, the Group Deed Administrators, the Group Administrators, the Ad Hoc Committee (in their capacity acting as the Ad Hoc Committee, and not as Group Creditors), the AFF Financiers (in their capacity acting as the AFF Financiers, and not as Group Creditors), the Advisers, the Administrative Parties, and in each case, their Related Parties, and Holdco and Opco and their past, present and future officers, directors and employees;
Released Parties has the meaning set forth in Section 10.1.
Released Parties means, collectively, and in each case in its capacity as such: (a) the Consenting Stakeholders; (b) the indenture trustees under the Debtors’ prepetition secured notes indentures; (c) the RBL Agent;(d) the DIP Lenders; (e) the DIP Agent; (f) each current and former Affiliate of each Entity in clause (a) through (e); and (h) with respect to each of the Debtors, the Reorganized Debtors, and each of the foregoing Entities in clauses (a) through (f), such Entity and its current and former Affiliates and subsidiaries, and such Entities’ and their current and former Affiliates’ and subsidiaries’ current and former directors, managers, officers, equity holders (regardless of whether such interests are held directly or indirectly), predecessors, successors, and assigns, subsidiaries, and each of their respective current and former equity holders, officers, directors, managers, principals, members, employees, agents, advisory board members, financial advisors, partners, attorneys, accountants, investment bankers, consultants, representatives, and other professionals.
Released Parties is defined in Section 6.02(d) of the Servicing Agreement.
Released Parties in the SEG Action means any and all of the Defendants, their past or present sub- sidiaries, parents, affiliates, successors and predecessors, officers, directors, agents, employees, attorneys, accountants, underwriters, advisers, investment advisers, insurers, co-insurers, re-insurers and any person, firm, trust, corporation, officer, director or other individual or entity in which any Defendant has a control- ling interest or which is related to or affiliated with any Defendant, and the legal representatives, heirs, suc- cessors in interest or assigns of Defendants. Released Parties does not include securities brokers, brokerage firms or investment advisers to any Members of the Class.
Released Parties means TVI, Inc., Apogee Retail, LLC, and EFA (including their affiliates, parents, direct and indirect subsidiaries, agents, insurers, and any company or companies under common control with any of them, and each of their respective predecessors, successors, past and present officers, directors, managers, employees, agents, servants, accountants, attorneys, advisors, shareholders, members, insurers, representatives, partners, vendors, issuers, and assigns, or anyone acting on their behalf) and each of their respective past, present and future parents, subsidiaries, affiliated companies and corporations, and each of their respective past, present, and future directors, officers, managers, employees, general partners, limited partners, principals, insurers, reinsurers, shareholders, attorneys, advisors, representatives, predecessors, successors, divisions, assigns, or related entities, and each of their respective executors, successors, and legal representatives.
