Amendment Fees means, collectively, the Amendment Fee as such term is defined in each of the First Amendment dated as of October 11, 2000 to this Agreement, the Second Amendment dated as of April 25, 2001 to this Agreement and the Third Amendment dated as of July 10, 2001 to this Agreement plus any other fees, costs and expenses incurred in connection with such Third Amendment, including, but not limited to, attorneys' fees.
