Arrangement fee. The Borrower shall pay to the Arranger an arrangement fee in the amount and at the times agreed in a Fee Letter.

Arrangement fee. On the Closing Date, Borrower shall pay to the Arranger an arrangement fee in the amount heretofore agreed upon by letter agreement dated February 10, 1998 between Borrower and the Arranger. Such arrangement fee is for the services of the Arranger in arranging the credit facilities under this Agreement and is fully earned when paid. The arrangement fee paid to the Arranger is solely for its own account and is nonrefundable.
