Risk of Crop Failure. Cream of the Crop will use the funds from the sale of Membership Shares to purchase farm products from our group of farmers and food producers. We commit these funds to our farmers before the start of the growing season so that we may share the economic risks of farming with our community of growers. Our Members participate in this Share Agreement subject to the success of our farmers. Our farmers plan for contingencies and use growing techniques that protect the harvest, minimize risk, and grow a wide variety of crops that thrive in different types of conditions in order to limit to the furthest extent the risk posed to our Members. However, the Member understands that poor weather, pests, or other types of crop loss may limit the number and variety of farm products delivered weekly to the Member, or in extreme cases, eliminate delivery completely. The Member further understands that in the unlikely event of crop losses, no refunds will be given to the Member for the Share Price paid at the beginning of the growing season for Large or Small Vegetable Shares or any of the Optional Shares.

Risk of Crop Failure. We promise to do our best to provide you with a bountiful share each delivery. The quantity may vary due to extreme weather, insects, or other production factors despite our best efforts. In the unlikely event of a crop failure, our procedure is as follows: If only a small portion of crops fail, we compensate for the failed crops by using other crops grown on another farm that are ready for harvest at that time. If a large portion of crops fail, we may not be able to deliver any product in some weeks. In addition to our CSA, the farmers we are working with sell to farmers markets, restaurants, grocery stores, local schools, and/or wholesale distributors. You may see the same products at the Santa Fe farmers market.

Risk of Crop Failure. By joining Farmstead’s CSA, both Farmstead and Member are agreeing to share in the risk of crop failure, due to factors such as inclement weather, pests, and acts of God. Farmstead will take all reasonable steps to limit crop failures from controllable factors. If a crop failure does happen, Farmstead’s normal policy is as follows: We will substitute more of any available crop(s). Note, when substitutions need to be made there may be some variation amongst the shares. Member(s) will be given the ability to choose their substitute product from a list of options when there are multiple substitutes available. In the event of a substantial crop failure, items may be purchased in from other local sources using the same farming practices. Member will be notified of all external products in their weekly share newsletter. A refund of the share fee is not available. However, Farmstead reserves the right to deviate from these policies. Member Initial Crop Surpluses • Sassafras Farmstead also sells produce at Tidal Market and Revelation’s Hops & Crops Markets as well as from our produce stand. Sassafras Farmstead does not segregate CSA production, but CSA production does receive our priority. In the event of a crop surplus, other markets will be served after Farmstead has satisfied Member’s shares. Members will also have the opportunity to add-on items as they are available.

  • Power Failure Power Failure means the failure of power or other utility service if the failure takes place off the "residence premises". But if the failure results in a loss, from a Peril Insured Against on the "residence premises", we will pay for the loss caused by that peril.

  • Epidemic Failure Warranty Supplier warrants all Products against Epidemic Failure for a period of three years after DXC’s Acceptance. Epidemic Failure means the occurrence of the same failure, defect, or non-conformity with an Order in 2% or more of Products within any three-month period.

  • Force Majeure Failure Buyer shall have the right, but not the obligation, to terminate this Agreement after the occurrence of the following:

  • Epidemic Failure Remedy If an Epidemic Failure occurs, all costs, including but not limited to, replacement Products, parts, upgrades, materials, labor, transportation and inventory replacement arising from an Epidemic Failure shall be borne by Supplier, regardless of whether DXC initiates a field stocking recall or customer-based recall or retrofit, including Products in distributor inventory and DXC’s installed base. Supplier, at its expense, will ensure that such Products, parts or upgrades have the highest shipping priority. DXC reserves the right to procure, upon terms it deems appropriate, similar products to substitute the affected Products, and Supplier shall promptly reimburse DXC for all costs, charges, prices and fees paid in purchasing the substitute products.

  • Developer Default Each of the following shall be an Event of Default by Developer:

  • Failure to Achieve Commercial Operation If the Large Generating Facility fails to achieve Commercial Operation, but it or another generating facility is later constructed and makes use of the Network Upgrades, the Participating TO shall at that time reimburse Interconnection Customer for the amounts advanced for the Network Upgrades. Before any such reimbursement can occur, the Interconnection Customer, or the entity that ultimately constructs the generating facility, if different, is responsible for identifying and demonstrating to the Participating TO the appropriate entity to which reimbursement must be made in order to implement the intent of this reimbursement obligation.

  • Regulatory Event New Taxes If, after the Effective Date, a Regulatory Event occurs or New Taxes are imposed, and such event or taxes have a direct, material and adverse effect on the economic benefits to a Party of this ESA, the affected Party shall send written notice to the other Party, setting forth the Regulatory Event or New Taxes and reasonably demonstrating the effect of the same on the affected Party. Upon delivery of such notice, the Parties shall use reasonable efforts to negotiate an amendment to this ESA to mitigate such effect. Alternatively, if as a direct result of such a Regulatory Event or New Taxes, the Competitive Supplier incurs additional, material costs, the Competitive Supplier shall provide a written notice to the Town that documents: a) the effective date of the Regulatory Event or New Taxes; b) a detailed explanation and reasonable demonstration of the material costs incurred as a result of the Regulatory Event or New Taxes; c) the timing of the cost impact to be incurred by the Competitive Supplier; d) the proposed price increase per kWh to be passed on to Participating Consumers; and e) a proposed plan for coordinating with the Local Distributor for an increase in the price per kWh that is billed by the Local Distributor, designed to reimburse the Competitive Supplier for such cost impact. If the Town and the Competitive supplier cannot agree on the amendment to this ESA or reimbursement contemplated by this section, the matter may be subject to dispute resolution in accordance with section 12.2. In no event shall a price change become effective without providing Participating Consumers with a 30-day advance notice of the price change.

  • Default Events (a) Any material breach of the Funding Agreement by the Recipient, including those set out below, will be an event of default (“Default Event”):

  • What if a Prohibited Transaction Occurs If a “prohibited transaction”, as defined in Section 4975 of the Internal Revenue Code, occurs, the Xxxxxxxxx Education Savings Account could be disqualified. Rules similar to those that apply to Traditional IRAs will apply.

  • PERSONAL SATISFACTION AS A CONDITION PRECEDENT The obligations of County as provided in this Agreement are expressly conditioned upon Contractor’s compliance with the provisions of this Agreement to the personal satisfaction of the County. County shall determine compliance in good faith as a reasonable person would under the circumstances.
