Distribution Schedule. The RSUs shall be distributable in accordance with Section 2.1(c) of the Restricted Stock Unit Agreement. By his or her signature and the Company's signature below, Participant agrees to be bound by the terms and conditions of the Plan, the Restricted Stock Unit Agreement and this Grant Notice. The Participant has reviewed the Restricted Stock Unit Agreement, the Plan and this Grant Notice in their entirety, has had an opportunity to obtain the advice of counsel prior to executing this Grant Notice and fully understands all provisions of this Grant Notice, the Restricted Stock Unit Agreement and the Plan. Xxxx Title: Vice President & CFO Address: Address: EXHIBIT A TO RESTRICTED STOCK UNIT AWARD GRANT NOTICE TEGAL CORPORATION RESTRICTED STOCK UNIT AWARD AGREEMENT Pursuant to the Restricted Stock Unit Award Grant Notice (the "Grant Notice") to which this Restricted Stock Unit Award Agreement (this "Agreement") is attached, Tegal Corporation, a Delaware corporation (the "Company"), has granted to Participant the right to receive the number of Restricted Stock Units under the Company's 2007 Incentive Award Plan (the "Plan"), with respect to the number of shares of the Company's common stock, par value $0.01 (the "Stock").

Distribution Schedule has the meaning set forth in Section 1.4(a).

• If, as of the “EDI Grant Confirmation Deadline” in the Grant Distribution Schedule above, Basket Savings has leased at least ninety percent (90%) of the corresponding “Leased Square Feet” listed in the above Grant Distribution Schedule at the Basket Savings Facility, then, on the corresponding EDI Grant Distribution Date, the IDA shall disburse an annual EDI Grant to Basket Savings in the amount of Twenty-One Thousand Seven Hundred Fifty and 00/100 Dollars ($21,750.00).

• If, as of the corresponding XXX Xxxxx Confirmation Deadline, GW MFA has leased at least ninety percent (90%) of the Square Feet listed in the above Grant Distribution Schedule at the GW MFA Facility, then, on the corresponding XXX Xxxxx Distribution Date, the XXX shall disburse an annual XXX Xxxxx to GW MFA in the amount of Thirty-Five Thousand and 00/100 Dollars ($35,000.00).

• If, as of the corresponding XXX Xxxxx Confirmation Deadline, GW MFA has neither created and Maintained at least fifty percent (50%) of the Total New Jobs listed in the above Grant Distribution Schedule at the GW MFA Facility, nor leased at least fifty percent (50%) of the Square Feet listed in the above Grant Distribution Schedule at the GW MFA Facility, then on the corresponding XXX Xxxxx Distribution Date, the XXX shall not disburse any portion of the annual XXX Xxxxx to GW MFA.

• If the parties cannot reach a negotiated agreement, in good faith for a revised DP and Distribution Schedule, prior to 25 days before the beginning of the next Contract Year, then the existing parameters shall apply.

More Definitions of Distribution Schedule

Distribution Schedule means the method of distribution elected (or deemed elected) by a Participant, which method may be either a lump sum payment or an annuity, pursuant to which distribution of the Participant's benefit hereunder shall be made or shall commence. Such election shall be made at the time and in the manner described in Section 2.2 hereof and shall be subject to the provisions thereof.

The Participant has reviewed the Deferred Stock Agreement, the Plan and this Grant Notice in their entirety, has had an opportunity to obtain the advice of counsel prior to executing this Grant Notice and fully understands all provisions of this Grant Notice, the Deferred Stock Agreement and the Plan. Participant hereby agrees to accept as binding, conclusive and final all decisions or interpretations of the Administrator of the Plan upon any questions arising under the Plan, this Grant Notice or the Deferred Stock Agreement. Distribution Schedule means the date or date(s) elected by a Participant, at the time and in the manner described in Section 2.2 hereof, for the distribution of amounts credited to the Participant’s Account.

Distribution Schedule means the schedule attached hereto as Exhibit A setting forth, for each Seller (a) such Person’s name and address; (b) the number of Company Shares held by such Person as of immediately prior to the Closing Date; (c) such Person’s Pro Rata Percentage; (d) the portion of the Estimated Aggregate Consideration attributable to such Person (expressed in whole shares of Parent Stock); (e) the percentage interest of the Escrow Amount attributable to such Person and such amount expressed in whole shares of Parent Stock; and (f) the amount of the Earn-Out Amount attributable to such Person, as such Distribution Schedule may be amended to reflect any Company Optionholder exercises pursuant to Section 2.2(a)(xii) (it being understood that any such exercises will not affect the Final Aggregate Consideration other than to reflect the redistribution of such Final Aggregate Consideration to the Sellers according to such exercises).
