Share Price definition

Share Price means any price of the Share as published by the Exchange.

Share Price shall have the meaning specified in Section 14.03(c).

Share Price has the meaning set forth in Section 8.2.

Examples of Share Price in a sentence

• For purposes of clarification, whether or not the Company provides a Dilutive Issuance Notice pursuant to this Section 5(b), upon the occurrence of any Dilutive Issuance, the Holder is entitled to receive the adjustment hereunder regardless of whether the Holder accurately refers to the Base Share Price in the Notice of Conversion.

• For purposes of clarification, whether or not the Company provides a Dilutive Issuance Notice pursuant to this Section 3(d), upon the occurrence of any Dilutive Issuance, the Holder is entitled to receive a number of Warrant Shares based upon the Base Share Price regardless of whether the Holder accurately refers to the Base Share Price in the Notice of Exercise.

More Definitions of Share Price

Share Price means the most recent price (last price) at which the Share traded during the trading hours on the Exchange.

Share Price means on any day, the price of the relevant Share quoted on the relevant Exchange as determined by the Issuer as at the Valuation Time on such day.

Share Price means, as of a particular date, the Fair Market Value of one Share on such date (or, if such date is not a trading day, the most recent trading day immediately preceding such date); provided further, however, that if such date is the date upon which a Transactional Sale Event occurs, the Share Price as of such date shall be equal to the fair market value in cash, as determined by the Committee, of the total consideration paid or payable in the transaction resulting in the Transactional Sale Event for one Share.
