Project Fund Disbursements. There is established with the Trustee under the Indenture the Project Fund, the moneys in which, subject to the terms hereof and of the Indenture, and subject to the security interest therein granted by the Obligor to the Issuer, shall be the property of the Obligor. Unless an Event of Default has occurred and is continuing which the Trustee is required to take notice of or is deemed to have notice of pursuant to Section 901(h) of the Indenture, the Trustee, as authorized by the Indenture, shall disburse to or for the benefit of the Obligor out of the Project Fund the lesser of (a) the Project Costs, or (b) the proceeds of the Bonds deposited in the Project Fund and investment income in the Project Fund. Such disbursements shall be made from time to time to pay Project Costs, so long as there are moneys in the Project Fund, upon presentation of Requisition Certificate(s) executed by the Obligor and approved for payment in writing by the Bank. The Trustee may also disburse moneys out of the Project Fund to or for the benefit of the Issuer upon the Obligor's failure to pay the fees, costs and expenses of the Trustee or Issuance Costs as required by Section 5.2 hereof. Disbursements from the Project Fund shall be made upon the Trustee's receipt of an executed and approved Requisition Certificate. The Obligor shall also deliver or cause to be delivered to the Trustee with a Requisition Certificate such other documents and certificates as may be required by the Bank, it being understood that the Trustee shall have no duty to review such documents and certificates nor shall it be required to approve same. Upon the occurrence of an Event of Default under the Indenture, any moneys in the Project Fund shall be transferred by the Trustee to the Bond Fund. Upon request and with reasonable notice, the Obligor shall permit the Trustee or the Issuer or its authorized agents to audit the records of the Obligor relating to Project Costs during normal business hours.

Project Fund Disbursements. There is hereby created and held by the Issuer, to be deposited with Regions Bank, Gainesville, Georgia (the “Project Fund Depository”), a restricted fund to be designated “Gainesville and Hall County Development Authority Revenue Bonds Project Fund, Fox Factory, Inc. Project, Series 2020.” The proceeds derived from the sale of the Bonds shall be paid into the Project Fund unless the Lessee or its Affiliate also owns the Series 2020 Bonds in which case no actual cash transfer need be made. Moneys received from the Lessee pursuant to Section 6.2 of the Lease Agreement shall be paid into the Project Fund. Moneys in the Project Fund shall be disbursed in accordance with the provisions of the Lease Agreement, and particularly Section 4.3
Project Fund Disbursements. Requisition Certificates executed by the Obligor for disbursements of the Project Fund to pay Project Costs and approved by the Bank shall be made not more frequently than once per calendar month. All disbursements from the Project Fund to pay Project Costs are subject to documentation evidencing that the Obligor has paid or incurred Project Costs and that after payment off the requested Requisition Certificate or Certificates, that sufficient funds remain in the Project Fund to pay for and complete the Project. The disbursements from the Project Fund to pay costs relating to construction of the Project are subject to the Bank's standard construction financing procedures including without limitation, title insurance endorsements, contractor's sworn statements, construction lien waivers, architect's or project manager's certificates. Oxxxxxx agrees that unless all mechanics' liens and lis pendens filed in connection with the Project have been released and discharged at the time the Letter of Credit is issued, funds sufficient in the sole discretion of the Bank to obtain complete releases and discharges of said mechanics' liens and lis pendens shall be retained in the Project Fund and released upon the prior written consent of the Bank.

  • Monthly Disbursements On or before the fifth (5th) day of each calendar month, during the design and construction of the Tenant Improvements (or such other date as Landlord may designate), Tenant shall deliver to Landlord: (i) a request for reimbursement of amounts paid to the “Contractor,” as that term is defined in Section 4.1.1 of this Tenant Work Letter, approved by Tenant, in a commercially reasonable form to be provided by Landlord, showing the schedule, by trade, of percentage of completion of the Tenant Improvements in the Premises, detailing the portion of the work completed and the portion not completed; (ii) invoices from all of “Tenant’s Agents,” as that term is defined in Section 4.1.2 of this Tenant Work Letter, for labor rendered and materials for the Premises; (iii) executed mechanic’s lien releases, as applicable, from all of Tenant’s Agents which shall comply with the appropriate provisions, as reasonably determined by Landlord, of California Civil Code Section 3262(d); and (iv) all other information reasonably requested by Landlord. Tenant’s request for payment shall be deemed Tenant’s acceptance and approval of the work furnished and/or the materials supplied as set forth in Tenant’s payment request. Within forty-five (45) days thereafter, Landlord shall deliver a check to Tenant made payable to Tenant in payment of the lesser of: (A) the amounts so requested by “tenant as set forth in this Section 2.2.3.1, above (or, subject to the terms of Section 4.2.1, below, a percentage thereof), and (B) the balance of any remaining available portion of the Tenant Improvement Allowance, provided that Landlord does not dispute any request for payment based on non-compliance of any work with the “Approved Working Drawings,” as that term is defined in Section 3.5 below, or due to any substandard work. Landlord’s payment of such amounts shall not be deemed Landlord’s approval or acceptance of the work furnished or materials supplied as set forth in Tenant’s payment request.
