The Grant Agent may request a Cash Transfer after a commitment of Trust Fund funds by the Trustee pursuant to Section 3.2(a) above.
After the approval of each new Allocation and, subsequently, every twelve (12) months (or at such other frequency as the Secretariat, in consultation with the Trustee, and the Grant Agent may mutually decide), the Grant Agent shall submit, by email, facsimile or as otherwise agreed with the Trustee, a Cash Transfer Request to the Secretariat for its review and submission to the Trustee.
On the date of this Agreement, the Depositor transferred to the Trust the Initial Trust Property in exchange for the Receivables Cash Transfer Amount and the Certificates under the Transfer and Servicing Agreement.
Section 5.1. Upon completing a Cash Transfer, the Trustee shall have no responsibility, fiduciary or otherwise, for the use of such funds or for Activities carried out therewith.
The Cash Transfer Request by the Grant Agent shall be submitted to the Secretariat for its review and submission to the Trustee in accordance with Sections 4.1(b) and (c) below.
