Ownership, Operation and Maintenance. Xxxxx Basin shall own the Park City Water Interconnection, including the interconnect vault and all associated piping, valves and meters within the vault and the pipeline from the vault to the connection with the Highway 40 System, but excluding the related facilities within Park City Water’s Quinns water treatment plant and associated pipeline to the interconnect vault from Quinns water treatment plant, as outlined in Section 2.7 of the Master Agreement. However, until such time that Xxxxx Basin has a full-time presence in the Snyderville Basin, as determined by Xxxxx Basin in its sole and absolute discretion, Park City Water shall operate and maintain the Park City Water Interconnection. Park City Water shall be responsible for the payment of all expenses relating to the OM&R of the Park City Water Interconnection, provided however that Park City Water shall be reimbursed by the Parties capable of receiving water from or through the Park City Interconnection, in the proportion of that Party’s capacity to receive water therefrom, until water is actually delivered to any one Party. Thereafter, once water is delivered to any party through the Park City Water Interconnection, Park City shall be reimbursed in proportion to the quantity of water that is actually delivered to any Party (thus, if one Party receives 100% of the water through the Park City Interconnection, that Party shall be responsible for 100% of OM&R costs associated with the Park City Interconnection, whereas if a Party receives 50% of the water through the Park City Interconnection, that Party shall be responsible for 50% of OM&R costs associated with the Park City Interconnection). All such reimbursements shall be made within thirty (30) days after receiving Park City Water’s invoice(s) therefor. Park City Water may terminate its rights and obligations under this Paragraph 2 by providing written notice to Xxxxx Basin, and to the other Parties to this Agreement, of such termination at least ninety (90) days prior to the proposed termination date. Any costs incurred by the operating entity should be submitted at the time of this notice. Following ninety (90) days from the receipt of such written notice, Xxxxx Basin shall thereafter operate and the control the portion of the Park City Water Interconnection, that Xxxxx Basin Owns, and all of the terms and provisions of Section 2.7 of the Master Agreement shall thereafter govern the operation and maintenance of the Park City Water Interconnectio...
Ownership, Operation and Maintenance. Xxxxx Basin shall own the Summit Interconnection, and all facilities related thereto, as outlined in Section 2.7 of the Master Agreement. However, until such time that Xxxxx Basin has a full-time presence in the Snyderville Basin, as determined by Xxxxx Basin in its sole and absolute discretion, Summit Water shall operate and maintain the Summit Interconnection. Since Mountain Regional is the only end user of water from the Summit Interconnection, Mountain Regional shall be responsible for the payment of all expenses relating to the OM&R of the Summit Interconnection.
