Orders by Affiliates. Any Authorized Affiliate of Xxxx Atlantic may place orders under this Agreement. Genuity shall provide the Genuity Services to such affiliates pursuant to such order in accordance with the terms and conditions of this Agreement.
Orders by Affiliates. All Orders and estimates for particular countries throughout the Territory must be made and processed by Purchaser or a single designated Purchaser Affiliate who will coordinate with Manufacturer all Orders of Purchaser Distributors; payment for all such Orders will be coordinated by Purchaser or such single designated Purchaser Affiliate and paid directly to Manufacturer.
Orders by Affiliates. Customer’s Affiliates may subscribe to use the Service on execution of additional Order Forms referencing this Agreement. On execution of an Order Form by Datafold and the Affiliate, the Affiliate will be bound by the provisions of this Agreement as if it were an original party hereto.
Orders by Affiliates. Affiliates of customer may execute orders under this agreement, provided however, customer shall require such affiliates to comply with the terms and conditions of this agreement and customer shall be liable for and indemnify assima for any claim resulting from the acts and omissions of its affiliates in regards to their compliance with this agreement. For purposes of affiliate executed orders, the affiliate will be considered customer as that term is used throughout this agreement. DELIVERY, TRAINING AND INTEGRATION
Orders by Affiliates. Customer's corporate parent, subsidiaries and affiliates that are majority owned by Customer, or its parent, or are under voting control of such entities and/or related companies, or that are related governmental entities permitted by statue or other governmental action to procure under this Agreement (collectively, "Affiliates"), may order Products or Services under this Agreement. Unless otherwise agreed in writing, any affiliate or governmental entity that submits an order to Dell or an affiliate of Dell shall have thereby agree to abide by the terms of this Agreement. Dell, in its sole discretion, may discontinue selling Products or Services to any Affiliate or may require additional payment and/or credit conditions for such Affiliate.
Orders by Affiliates. Throughout the Term of the Agreement (as defined in Article 2 herein) and any further extensions thereof, if any, any Affiliate of FedEx shall have the right to make purchases under this Agreement. For purposes of this provision, the term “Affiliate” shall mean any entity that, directly or indirectly, controls, is controlled by or is under common control with FedEx, where “control” is defined as the ownership of at least fifty percent (50%) of the equity or beneficial interests of such entity, but only for so long as such control exists. In the event of default by an Affiliate, Contractor shall look solely to the defaulting Affiliate when pursuing any remedies and not to FedEx or any other non-defaulting Affiliate whose rights under the Agreement shall continue uninterrupted in accordance with the terms of this Agreement.
Orders by Affiliates. Customers Affiliates may, upon executing a new Order Form and agreeing to be bound by the provisions of this Agreement use the Services identified in that Order Form. Upon execution of an Order Form by Fivetran and the Affiliate(s), the Affiliate(s) will be bound by the provisions of this Agreement as if they were an original party hereto. Affiliate means an entity controlling, controlled by or under common control with a party to this Agreement at any time during the term of this Agreement, for so long as such ownership and control exists, provided such entity is not a competitor to Fivetran or in the business of developing and offering products or technologies that are substantially similar to the Services.
Orders by Affiliates. Orders may be entered into under this Agreement by and between (a) HCL or an Affiliate of HCL; and (b) Partner or an Affiliate of Partner. With respect to an Order, the term HCL or Partner will be deemed to refer to the entities that execute such Order. Partner shall be responsible for its Affiliates’ agreement and compliance with this Agreement (including Orders).
Orders by Affiliates. The Parties agree that an Affiliate of Customer may place orders for the OpenExchange products and services by executing a separate Solution Schedule and/or Statement of Work with OpenExchange in which the Customer Affiliate agrees to be bound by all terms and conditions of this Agreement, in which case all references to "Customer" in the Agreement shall mean the Customer Affiliate which executes the Solution Schedule and/or Statement of Work; provided, however, that Customer shall remain responsible for the compliance of its Affiliates with the terms of the Agreement and the Solution Schedules and Statements of Work, including without limitation payment of all fees due thereunder.
Orders by Affiliates. The Parties agree that an Affiliate of Customer may place orders for the Rapta Offering by executing a separate Order Form and/or Statement of Work with Rapta in which the Customer Affiliate agrees to be bound by all terms and conditions of this Agreement, in which case all references to "Customer" in the Agreement shall mean the Customer Affiliate which executes the Order Form and/or Statement of Work; provided, however, that Customer shall remain responsible for the compliance of its Affiliates with the terms of the Agreement and the Order Forms and Statements of Work, including without limitation payment of all fees due thereunder. ACCEPTANCE: BY INDICATING YOUR ACCEPTANCE OF THESE TERMS OF SERVICE OR DOWNLOADING, ACCESSING OR USING ANY RAPTA PRODUCTS OR SERVICES, CUSTOMER AGREES TO BE BOUND BY ALL TERMS AND CONDITIONS OF THE AGREEMENT. IF YOU DO NOT AGREE TO THE AGREEMENT, PLEASE DO NOT USE THE RAPTA PRODUCTS OR SERVICES. FOR CLARITY, EACH PARTY EXPRESSLY AGREES THAT THE AGREEMENT IS LEGALLY BINDING UPON IT. THE AGREEMENT CONTAINS MANDATORY ARBITRATION PROVISIONS THAT REQUIRE THE USE OF ARBITRATION TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS. PLEASE READ IT CAREFULLY.
