Non-Defamation. The Employee shall not, during the course of the Employee's employment with the Company or the Bank, nor at any time thereafter, directly or indirectly, in public or private, in any manner or in any medium whatsoever, deprecate, impugn or otherwise make any comments, writings, remarks or other expressions that would, or could be construed to, defame the Company, the Bank or either of their reputations. Nor shall the Employee assist any other person, firm or company in so doing.
Non-Defamation. The Employee covenants and agrees that during the -------------- course of his employment by the Employer and for any time thereafter, the Employee shall not, directly or indirectly, in public or private, deprecate, impugn or otherwise make any remarks that would tend to or be construed to tend to defame the Employer, its employees or products or its reputation, nor shall Employee assist any person, firm or company in doing so, except as required by subpoena, court order or other legal process.
Non-Defamation. (a) You agree that you will not, directly or indirectly, make or ratify any defamatory comments or remarks as defined by law, in writing, orally or electronically, about the Company or any other Releasee (as defined in Paragraph 3 above) and their respective products and services. This restriction is subject to and limited by your Retained Rights in Paragraph 5.
Non-Defamation. The Employee agrees that he will not, directly or -------------- indirectly, in public or private, deprecate, impugn or otherwise make any remarks that would tend to or be construed to tend to defame Orchid or its reputation, nor will the Employee assist any other person, firm or company in engaging in such activities. Orchid also agrees not to engage in any activities, directly or indirectly, that would defame the Employee, or his reputation.
Non-Defamation. (a) You agree that you will not, directly or indirectly, make or ratify any defamatory comments or remarks as defined by law, in writing, orally or electronically, about the Company, the Partnership and any and all of their respective direct or indirect parent, subsidiary, related and/or affiliated companies, divisions or entities (together, the “Company Group”) and their respective boards of directors/managers, executive officers, products and services. This restriction is subject to and limited by your Retained Rights in Paragraph 5 and by the provisions in Section 8(d) of the Employment Agreement, which provisions shall apply equally to this Release.
Non-Defamation. You agree not to defame the Company, its directors, officers and employees, Company products or services, or any Releasee, publicly or privately, directly or indirectly through others, by use of any words, actions, gestures or medium, including but not limited to on social media or other internet site. Nothing in this Section 11 or this Agreement shall prevent you from (a) testifying truthfully in response to a subpoena or other legal process; (b) discussing terms and conditions of your employment with the Company, as permitted by the National Labor Relations Act and California law, including but not limited to discussing or disclosing information about unlawful acts in the workplace, such as harassment or discrimination or any other conduct that you have reason to believe is unlawful; or (c) communicating directly with, cooperating with, or providing information to, any federal, state or local government regulator, including, but not limited to, the U.S. Securities and Exchange Commission, the U.S. Commodity Futures Trading Commission, or the U.S. Department of Justice.
Non-Defamation. Each party agrees not to intentionally defame the other with respect to matters arising prior to the date of the execution of this Agreement.
Non-Defamation. Executive agrees that Executive shall not, directly or indirectly, make or ratify any defamatory comments or remarks (in writing or orally), about the Company or any other Released Party or their respective products or services. The Company shall not, and shall direct its current officers and directors to not, directly or indirectly, make or ratify any defamatory comments or remarks (in writing or orally), about Executive. For the avoidance of doubt, it shall not be a violation of the terms of this Section 8 for any person to make truthful statements when required by court order or as otherwise required by law, including to applicable Governmental Agencies.

Employee agrees not to, directly or indirectly, in public or private, deprecate, impugn or otherwise make any remarks that would defame or could be construed to defame the Company or its reputation. Employee also agrees not to disclose any information regarding the existence or substance of this Agreement or the circumstances surrounding his cessation of employment, except to an attorney (with whom Employee chooses to consult regarding his consideration of this Agreement), his spouse or tax preparer (all of whom shall be subject to the disclosure restrictions set forth herein) or as a result of judicial or federal agency process.
Non-Defamation. Each Party agrees to refrain from (and the Company shall take reasonable steps to cause its officers and directors to refrain from), either directly or indirectly, hereafter making any defamatory comments of any type or nature whatsoever to anyone about the other party (and in the case of the Company, its employees, officers, directors, agents, consultants, affiliates, investors or business partners).
