Non-Competition, Non-Solicitation and Confidentiality Agreement. Whereas I, Xxxx Sentjens, recognize that OFFSHORE SYSTEMS INTERNATIONAL LTD. and its affiliates including without limitation Offshore Systems Ltd., Mapcon Mapping Ltd., Mapcon Mapping Inc. (collectively, the “Company”) is engaged in a continuous program of software research and development and the marketing of software products and computer systems, and that the Company also provides technical support, consultation, and training services. I also recognize the importance of protecting the Company’s trade secrets, confidential information, partner and customer relationships and other proprietary information and related rights acquired through the Company’s expenditure of time, effort and money. Therefore, because I wish to be employed by the Company in a capacity in which I will receive and/or contribute to the Company’s Confidential Information, and in consideration of the salary or wages I will receive from the Company and for my employment by the Company, I agree to be bound by the following terms and conditions:
Non-Competition, Non-Solicitation and Confidentiality Agreement. A. Throughout the Consulting Term and throughout the one (1) year period immediately following the termination of that consulting arrangement, Xxxxxxxxx shall not engage or invest in, own, manage, operate, finance, control, or participate in the ownership, management, operation, financing, or control of, be employed by, consult for or with, obtain sales for, lend his name to, lend his credit to, or render services or advise to, any business engaged in the manufacture, coating, distribution, marketing or sale of OCTG, HSS, conduit, line pipe or coil tubing markets with the United States or Canada. Xxxxxxxxx, however, is not precluded by this paragraph from purchasing or otherwise acquiring in the aggregate up to (but not more than) five percent (5%) of any class of securities of any enterprise (but without otherwise participating in the day to day operational activities of such enterprise) if such securities are listed on any national or regional securities exchange or have been registered under Section 12(g) of the Securities Exchange Act of 1934.
