COMPETE AGREEMENT. This Agreement, those documents expressly referred to herein and other documents of every date herewith embody the complete agreement and understanding among the parties and supersede and preempt any prior understandings, agreements or representations by or among the parties, written or oral, which may have related to the subject matter hereof in any way.
COMPETE AGREEMENT. This Agreement contains the entire understanding of the parties hereto with respect to the matters covered hereby, except that this Agreement shall not supersede or otherwise modify in any respect any agreement of the parties hereto contained in the Standstill Agreement or the Investment Agreement.
COMPETE AGREEMENT. In consideration of entering into a Change in Control Severance Agreement with Integra LifeSciences Corporation, any of its subsidiaries, or any of their respective successors or assigns (collectively, the “Company”), I (whose name is set forth on the signature line on the last page of this Confidentiality, Invention Disclosure and Non-Compete Agreement (the “Agreement”) and who also may be referred to as “Employee” in this Agreement) agree to the following:
COMPETE AGREEMENT. Customers are prohibited from soliciting or contracting with Sitters outside Andy’s Hub. Accordingly, you and/ or your associate using an Andy’s Hub Sitter, agree not to solicit, attempt to solicit, or contract with a Sitter, directly or indirectly, for a period of two (2) years following the sitting placement without the written consent of Andy’s Hub. You acknowledge that Andy’s Hub has a valid contract and/or business expectancy with the contracted Sitters who are subject to their own two (2) year non-compete provision regarding Andy’s Hub customers. Violating the non-compete provision, or failing to notify Andy’s Hub in the event you have reason to believe a Sitter is actually or attempting to do so, also constitutes tortious interference with Andy’s Hub contract with the Sitter, for which you may be liable to Andy’s Hub for monetary damages and/or equitable relief. In the event of a violation, the Parties acknowledge that the actual costs and resulting damages (lost productivity, increased operating costs, lost advertising costs, lost customer acquisition costs, customer lifetime value, etc.) are difficult to ascertain, calculate, and foresee. You hereby agree that each violation of this provision shall damage Andy’s Hub in the amount of $5,000 or more and to pay all Andy’s Hub costs and expenses incurred enforcing these Terms, including but not limited to reasonable attorneys’ fees.
COMPETE AGREEMENT. Due to the investment in training and the competitive nature of our industry, you are required to sign a Non- Compete and Confidentiality Agreement. It states that you will not start your own pressure washing or roof cleaning business, work for another company, sell accounts for another company, etc. in the areas that we work in, during the time you are employed by us in for a minimum period of two years afterwards. WORKING WEEKENDS We sometimes need to work evenings and weekends, we will provide as much notice as possible. WINTER WORK
COMPETE AGREEMENT. This Agreement constitutes the full and complete Agreement between the parties, and the Director of Finance and Operations and the Board acknowledge that no other promises or commitments were made not contained in this Agreement unless they were reduced to written documentation and mutually signed by both parties. Xxxx X. Carter, its Superintendent, and Xxxxx XxXxxxxx.
COMPETE AGREEMENT. All employees of Homewatch CareGivers Northshore agree to refrain from direct or indirect solicitation of business, including providing caregiving services, for any known Homewatch CareGivers client, client family, or client representative for the employee’s personal benefit or benefit of any other company during the employee’s term of employment and for one year afterward. If an employee makes a private arrangement to work for a Homewatch CareGivers client, Homewatch CareGivers can and will seek reimbursement from both the employee and the client in the amount of $3,500.00 or the largest dollar amount billed to the client for Homewatch CareGivers services in any thirty day period, whichever is greater, as an employment placement fee. This is valid for up to one year, and is also incorporated in the Homewatch CareGivers Client Service Agreement.

This Lease constitutes the sole and complete agreement of the parties hereto and supersedes any prior understandings or written or oral agreements between the parties respecting the within subject matter. No amendment, modification, or alteration of the terms hereof shall be binding unless the same be in writing, dated subsequent to the date hereof, and duly executed by the parties hereof.

We provide the shirts. we will provide as much notice as possible.
