Management and Development. The Property was originally purchased by the parties as a site for a multi-use facility; however, following careful study and actual experience in managing the Property, it was subsequently designated to serve as the Outer Banks Event Site (the “Event Site”) for a period of approximately ten (10) years, which period began in late 2012. The designation of the Property as the Event Site shall end on December 31, 2022 (the “Term”), unless extended by agreement of the parties. This Agreement shall be in effect so long as the Property remains designated as the Event Site. While the Town recognizes the value of events to its residents and visitors, it has no desire to be directly responsible for Property decisions and the management and development of the Event Site, except as otherwise provided in this Agreement. As such, and except as otherwise provided in this Agreement, the parties agree that the Board shall make all decisions relating to the Property’s management and development during the Term. Similarly, and except as otherwise provided in this Agreement, the Board will accept all financial responsibility for these Property decisions and liability as to the uses and activities made thereon during the Term. This understanding shall not impede or otherwise affect the Town’s ability to govern the municipality through the creation and enforcement of ordinances and permits, or as otherwise permitted by applicable law, which may affect the Property’s usage. Rental of the Property. As the Event Site manager, the Board will be responsible for collecting rental proceeds from users of the Property and, except as otherwise provided in this Agreement, for paying expenses related to the Property. Funds accrued from a previous watersports rental tenant and administered from a Board enterprise fund will revert to and shall be the sole and exclusive property of the Board; said funds shall be used in managing the Property. Prohibition Against Unilateral Transfers. A party to this Agreement may transfer all or part of its interest in the Property only to the other party to this Agreement. Neither party will have the right to sell, mortgage, pledge, hypothecate, convey or otherwise deal with the Property, or its undivided interest therein, without the written consent of the other.

Management and Development. 3.1 Implementation of Site Plan Construction Committee; Preparation of Master Plan. ------------------------------------- (a) The Members agree that the LLC Property is to be developed in accordance with the Site Plan, although in no event shall Xxxxx or the LLC have any responsibility for any BDC Project nor shall BDC or the LLC have any responsibility for any Xxxxx Project. Each Member agrees to cooperate with the other in causing the LLC to construct the Site Plan Improvements at the earliest practical time and at a cost within the amounts budgeted therefor in the Improvements Budget. The Members acknowledge that they must use every effort to reach timely agreement on such construction plans and specifications as are necessary to implement the construction of the Site Plan Improvements within the Improvements Budget. The Members also shall use every effort to agree upon any modifications to the Site Plan (and applicable construction plans and specifications) which are necessary to complete the Site Plan Improvements in a timely fashion within the Improvements Budget or in accordance with applicable laws, rules and regulations, but the Site Plan shall not be modified otherwise unless such modification is agreed to in writing by the Members.

  • Independent Development Receiving Party may currently or in the future be developing information internally, or receiving information internally, or receiving information from other parties that may be similar to the Disclosing Party's Confidential Information. Accordingly, nothing in this Agreement will be construed as a representation or inference that Receiving Party will not develop or have developed products or services, that, without violation of this Agreement, might compete with the products or systems contemplated by the Disclosing Party's Confidential Information.

  • Clinical Development Licensee will have sole responsibility for and sole decision making over the clinical development of any Product arising from the Research Program in the Field. Notwithstanding the foregoing, if Licensee wishes to conduct clinical development of a Development Candidate at Penn and Penn has the clinical expertise, interest and ability to run such a trial as assessed at Penn’s sole discretion, such a study will be conducted under a separate Clinical Trial Agreement to be negotiated by the Parties prior to initiation of such study. Such separate clinical trial agreement will include a detailed clinical development plan, including costs and time lines for conducting the Clinical Trial.

  • Development 3.3 Within twenty (20) Working Days after the Commencement Date and in accordance with paragraphs 3.10 to 3.12 (Amendment and Revision), the Contractor will prepare and deliver to the Authority for approval the full and final Security Plan which will be based on the draft Security Plan set out in Appendix B.
