Location of Vehicles. Keep the Vehicles only at the locations set forth on Schedule 5.18, as such schedule may be revised from time to time as set forth in the Compliance Certificate delivered pursuant to Section 6.02(a), except that Vehicles may, in the ordinary course of business, be (a) in transit between locations, (b) in transit for “dealer trades”, (c) being test driven by potential customers or (d) being repaired at a collision repair center, and in each such instance described in clauses (a) – (d), the Company shall maintain records with the location of the Vehicle and, where applicable, the name of, and such other relevant information as is standard in the industry with respect to, the dealer involved in such a dealer trade (or the customer test driving such Vehicle), and shall provide any such records to the Administrative Agent promptly upon the Administrative Agent’s request therefor.
Location of Vehicles. Keep the Vehicles only at the locations set forth on Schedule 6.13, as such schedule may be revised from time to time as set forth in the Compliance Certificate delivered pursuant to Section 6.02(a), except that Vehicles may, in the ordinary course of business, (a) be temporarily in transit to or between such locations or (b) be temporarily removed from such locations (i) for repair or (ii) when being test driven by potential customers.
Location of Vehicles. Keep the Vehicles only at the locations set forth on Schedule 6.13, as such schedule may be revised from time to time as set forth in the Compliance Certificate delivered pursuant to Section 6.02(a), except that Vehicles may, in the ordinary course of business, (i) be temporarily in transit to or between such locations or (ii) be temporarily removed from such locations (a) for repair, (b) when being test driven by potential customers or (c) in the case of Heavy Trucks, for conversion of any such Heavy Truck at a conversion facility, provided that, (1) if requested by the New Vehicle Swing Line Lender in its sole discretion during a floorplan audit, the Company or the applicable New Vehicle Borrower shall provide the New Vehicle Swing Line Lender with the name, location and contact information of the conversion facility or other information reasonably requested by the New Vehicle Swing Line Lender with respect to such Heavy Truck, and (2) if the applicable customer has purchased the applicable Heavy Truck, the conversion facility may transport such Heavy Truck directly to such customer.
Location of Vehicles. Keep the Vehicles only at the locations set forth on Schedule 6.13, as such schedule may be revised from time to time as set forth in the Compliance Certificate delivered pursuant to Section 6.02(a), except that (a) Vehicles may, in the ordinary course of business, (i) be temporarily in transit to or between such locations or (ii) be temporarily removed from such locations (x) for repair or (y) when being test driven by potential customers or (b) in the case of vehicle chassis that have an aggregate invoice price of no more than $1,500,000 at any time and purchased for sale in connection with the conversion of such chassis, such vehicle chassis may be located at, or in transit to or from, locations of converters or purchasers of such chassis, provided that if requested by the New Vehicle Swing Line Lender in its sole discretion during a floorplan audit, the Company or the applicable New Vehicle Borrower shall provide the New Vehicle Swing Line Lender with the name, location and contact information of the converter or purchaser of such vehicle chassis or with other information reasonably requested by the New Vehicle Swing Line Lender with respect to such vehicle chassis.
Location of Vehicles. All Vehicles included in the Collateral on the date hereof are of the type and quantity, bear the vehicle identification numbers, and are titled in the jurisdictions listed on Schedules 5.3(a) and (b) hereto. All certificates of title evidencing Borrower's ownership of the Vehicles have been duly endorsed in favor of, and delivered to, Agent and all other filings, registrations, releases, assignments, or recordings necessary or appropriate, to create, preserve, protect, and perfect the Lien granted herein by Borrower to Agent on behalf of the Lender Group in respect of the Vehicles have been accomplished, except to the extent arrangements have been made to make such endorsements and deliveries, filings, registrations, releases, assignments, and recordings which arrangements are reasonably satisfactory to Agent in its sole discretion and, upon the completion of such endorsements and deliveries, filings, registrations, releases, assignments, and recordings, the Lien granted to Agent pursuant to this Agreement in and to the Vehicles will constitute a first priority perfected Lien therein superior and prior to the rights of all other Persons therein subject to no other Liens and is entitled to all the rights, priorities and benefits afforded by the Code or other relevant law as enacted in any relevant jurisdiction to perfected security interests.
Location of Vehicles. Borrower shall keep all Vehicles only at Borrower’s regular business locations as approved from time to time by Lender.
Location of Vehicles. The Vehicles paid for or intended to be paid for, directly or indirectly, with the proceeds of the Funding shall be stored at and operated out of the Premises at all times during the Performance Term. Notwithstanding the foregoing, any Vehicle may be stored away from the Premises for maintenance or repair. If any Vehicle is no longer stored at the Premises, except as otherwise required for maintenance or repair, Funding Recipient shall immediately provide written notice of the new location to DDC.
Location of Vehicles. The Eligible Vehicles paid for or intended to be paid for with the proceeds of the Funding shall be parked at and operated out of the Premises at all times during the Performance Term. Notwithstanding the foregoing, any such Eligible Vehicle may be temporarily parked away from the Premises for maintenance or repair.
Location of Vehicles. Each Borrower shall keep all Financed Vehicles only at such Borrower’s regular dealer locations as approved from time to time by Bank. Each Borrower will provide Bank with thirty (30) days’ prior written notice of any new location where Financed Vehicles may be located.
Location of Vehicles. To keep the Vehicles only at the Borrower's regular dealer locations as approved from time to time by the Bank, except (a) Demos may be moved to other locations and demonstrated in accordance with the terms and conditions established by the Bank; and (b) Vehicles subject to a Fleet Sale Purchase Contract approved by the Bank may be located as provided therein and (c) Rental Vehicles may be located as provided in the Rental Agreement. For purpose of this Agreement, "Rental Agreement' means any rental agreement used by Borrower, the form and substance of which has been approved by Bank in its sole and absolute discretion.
