In the event of a Failed Final Remarketing, any RSNs that remain outstanding after the Purchase Contract Settlement Date will be redeemable on or after February 15, 2031 at the Company’s option, in whole or in part, at any time and from time to time, at the Redemption Price, payable on the date specified for redemption (the “Redemption Date”).
In addition, an Event of Default with respect to the RSNs shall occur if the Company fails to pay the Put Price of any RSN on the Purchase Contract Settlement Date after a Holder’s Put Right has been exercised pursuant to Section 7.04 (a “Put Right Default”).
