DUTIES OF THE RECIPIENT. 9.01 The Recipient will comply with the terms of this Agreement, undertake and perform the Work described in Projects, as well as provide a report to the Ministry on the findings and results of the investment activity undertaken so as to further the knowledge base and investment objective of the Program. If at any time prior to commencement the Recipient determines that it cannot undertake a Project it will notify the Administrator on a timely basis and request approval to cancel the Project.
DUTIES OF THE RECIPIENT. The Recipient agrees that access to Confidential Information will be limited to those employees or other authorized representatives of the Recipient, as applicable, who: (a) need to know such Confidential Information in connection with their work on the AlgoRx Matter; and (b) have agreed with the Recipient obligating them to maintain the confidentiality of information disclosed to them and designated or defined as confidential. The Recipient further agrees to inform such employees or authorized representatives, as applicable, of the confidential nature of Confidential Information and agrees to take all necessary steps to ensure that the terms of this Agreement are not violated by them. The Recipient further agrees to promptly inform AlgoRx of any unauthorized disclosure or use of the Confidential Information.
DUTIES OF THE RECIPIENT. (1) The Recipient undertakes to submit to the Provider an officially authenticated copy of the Deed of Foundation or Statute proving unambiguously that scientific research is his fundamental mission. The document shall be submitted before this contract is signed. Documents set out in this paragraph constitute Annex 1 of this contract.

  • Duties of the Parties JHU is not a commercial organization. It is an institute of research and education. Therefore, JHU has no ability to evaluate the commercial potential of any PATENT RIGHTS or LICENSED PRODUCT or other license or rights granted in this Agreement. It is therefore incumbent upon Company to evaluate the rights and products in question, to examine the materials and information provided by JHU, and to determine for itself the validity of any PATENT RIGHTS, its freedom to operate, and the value of any LICENSED PRODUCTS or SERVICES or other rights granted.

  • DUTIES OF THE COMPANY The Company shall provide Consultant, on a regular and timely basis, with all approved data and information about it, its subsidiaries, its management, its products and services and its operations as shall be reasonably requested by Consultant, and shall advise Consultant of any facts which would affect the accuracy of any data and information previously supplied pursuant to this paragraph. The Company shall promptly supply Consultant with full and complete copies of all financial reports, all fillings with all federal and state securities agencies; with full and complete copies of all stockholder reports; with all data and information supplied by any financial analyst, and with all brochures or other sales materials relating to its products or services.
