Director Fee. As compensation for Director’s services provided herein, the Company shall pay to Red River, a fixed monthly payment of $5,000 (“Director Fee”). It is understood and acknowledged by the parties hereto that such Director Fee is in addition to the fees payable to Red River pursuant to that certain Advisory Service Agreement dated May 1, 2021 between Red River and the Company (the “Advisory Agreement”), which Advisory Agreement remains in full force and effect and unmodified by this Agreement.
Director Fee. A director fee equal to $50,000 (Fifty Thousand U.S. Dollars) per annum, payable quarterly (the "Board Meeting Fee") will be the cash compensation for your role as a director, as well as any board committees, as chair or as a member, you may participate.

Director Fee. As the Medical Director of the Facility, Hospital shall pay Director $200.00 per hour as a Directorship fee as consideration for this agreement and for the performance and documentation of the services listed in Section 2 above. Director shall devote a minimum of 5 hours and a maximum of 15 per month to providing said services and shall document the time, nature and date of the services on a form to be provided by Hospital (Exhibit “B”) and provide the same to the CEO no later than the 5th day of the month following the month when the services were provided.
Director Fee. A director fee equal to $35,000 (Thirty-Five Thousand U.S. Dollars) per annum, payable quarterly in arrears (the “Board Meeting Fee”) will be the cash compensation for your role as a director. If you are appointed to any of our board committees, as chair or as a member, you will receive additional compensation as follows: (1) for your participation on the audit committee, $7,500 per annum; and (2) for your service on any other committee, $5,000 per annum. Committee fees are also paid quarterly in arrears. Stock Options. Subject to all approvals required by law, the Company will grant you, pursuant to an equity incentive plan or such other plan to be adopted by the Company (the "Plan") and upon such terms and conditions as determined by the Compensation Committee or the Board (as applicable), an option to purchase Four Thousand Seven Hundred (4,700) shares of common stock of the Company at a strike price determined by the closing price of the common stock on the date of your appointment (the “Initial Grant”). This option shall be exercisable as provided herein and shall vest immediately. An additional option shall be granted for service each year as determined by the board of directors upon recommendation of the compensation committee. If your board service is terminated or ends for any reason, all granted Options that have not vested or been granted shall be forfeit, and any Options that have vested, but have not been exercised, shall be exercisable by you any time within three (3) months of the termination of your board position (the “Termination Exercise Period”). Any Options that are not exercised within the Termination Exercise Period, shall expire immediately.
Director Fee. Beginning with the fiscal first quarter of 2016, Director shall earn quarterly cash compensation of $2,500. If and when Company achieves quarterly revenues of $2,500,000, Director shall earn quarterly cash compensation of $5,000. Cash compensation due Director under this Section 3(a) shall be paid within forty-five days from the end of the calendar quarter in which such compensation was earned.
Director Fee. Executive shall not receive a fee or other compensation for attending meetings and other services provided as a member of Company's Board of Directors for so long as Executive shall remain a salaried employee of the company.
Director Fee. Director shall receive standard annual director fees in the amount of $26,000 and any applicable committee chair fees, as approved by the Board and consistent with the Company’s independent director compensation policy. Director shall not receive a salary, bonus, equity grants, or benefits except as disclosed in public filings and compliant with NYSE independence standards.

During the period which the Consultant serves as the chairman of the Board (the “Board Membership Period”), the Company agrees to pay the Consultant an annual fee equal to $100,000 (the “Director Fee”), which Director Fee will be payable by the Company in quarterly installments payable in arrears.
