Board Service. Promptly following the Effective Date, the ------------- Executive will be appointed as a member of the Board. Provided that the Executive's employment with the Company has not previously been terminated, the Executive will be nominated for election as a member of the Board at the first annual meeting of the Company's shareholders following the Effective Date. If so appointed and elected, the Executive agrees that he will serve as a member of the Board.
Board Service. During the Term, the Company shall cause the Nominating and Corporate Governance Committee of the Board (the “Nominating Committee”) to nominate Executive to serve as a member of the Board each year Executive’s term of Board service is to be slated for reelection to the Board. If, during the Term, the Company’s stockholders vote in favor of the Nominating Committee’s nomination of Executive to serve as a member of the Board, Executive agrees to serve in such capacity and also agrees that any such Board service shall be without additional compensation.
Board Service. No separate or additional compensation will be paid to Employee with respect to service on the Board.

Board Service. Unless otherwise specifically approved by the Board, Executive shall not receive separate or additional compensation for service on the Board or for service in any other capacity to the Company and/or its subsidiaries.
Board Service. To the extent requested by the Board, during Executive’s employment, Executive shall serve on the boards of directors of any member of the Company Group without additional compensation therefor. Executive shall resign as a member the boards of directors of any members of the Company Group at such time as Executive ceases to hold the position of Executive Vice President and Chief Financial Officer (or otherwise ceases to be employed by the Company Group) or as directed by the Board.

If so elected, Executive agrees that he will serve as a member of the Board and/or the board of directors or managers, as applicable, of any of its subsidiaries and affiliates, as well as to serve as a member of any committee of any of said boards, to which Executive may be elected or appointed.
Board Service. If the Board nominates Executive serve on the Board or the board of director, any Company affiliate or subsidiary, Executive agrees, for no additional compensation, to serve on the Board or such boards of directors. Upon the end of the Term for any reason, Executive agrees to immediately resign from the Board and from all other board positions and offices Executive holds with the Company or with any Company parent, subsidiary or affiliate.
Board Service. During the Employment Term, Executive shall continue to serve as a director and as Chairman of the Board; provided, however, that Executive shall and hereby does resign from his service as a member of the Nomination and Governance Committee. Upon termination of the Employment Term, Executive shall resume service as a non-employee member of the Board.
