Annual Discretionary Bonus. Following the end of each fiscal year and subject to the approval of the Board, the Executive may be eligible to receive a discretionary annual retention and performance bonus of 35% of the Executive’s then current Base Salary (the “Target Bonus”), based on the Executive’s performance and the performance of the Company and Nabriva Therapeutics AG during the applicable fiscal year, as determined by the Board in its sole discretion. All annual bonuses, if any, will be payable no later than March 15 of the year following the year in which they are earned. The Executive must be employed on the date of payment in order to be eligible for any annual bonus, except as specifically set forth below.
Annual Discretionary Bonus. Executive shall be eligible for a discretionary annual calendar year performance bonus (the “Annual Bonus”) with an annual target of forty percent (40%) of Executive’s then-current Base Salary (the “Target Amount”). Whether or not Executive is eligible for any Annual Bonus will be dependent upon the actual achievement by Executive and the Company of the applicable individual and corporate performance goals, as determined by the Board. No amount of any Annual Bonus is guaranteed at any time and may be greater or lesser than the Target Amount and may be zero. Any Annual Bonus, if awarded, will be paid in a single installment paid at the same time annual bonuses are generally paid to other similarly-situated employees of the Company and in any event no later than March 1st of the calendar year following the calendar year to which the Annual Bonus is applicable, and will be subject to deductions and withholdings. Executive’s eligibility for an Annual Bonus and the Target Amount, if any, is subject to change in the discretion of the Board (or any authorized committee thereof).
Annual Discretionary Bonus. Following the end of each fiscal year, the Executive will be eligible to receive an annual performance bonus of up to 40% of the Executive’s Base Salary (the “Target Bonus”), based upon the Board’s (or a committee thereof) assessment, in its sole discretion, of the Executive’s performance and the Company’s performance during the applicable fiscal year. No annual bonus or minimum amount thereof is guaranteed, and the Executive must be an employee in good standing on the date that annual bonuses are paid out in order to be eligible for and to earn any annual bonus, as it also serves as an incentive to remain employed by the Company.
Annual Discretionary Bonus. In addition to the Executive’s Base Salary, the Executive will be eligible to receive an annual incentive bonus for each fiscal year. The Executive’s initial target annual incentive bonus for each fiscal year during the Term shall be 35% of the annual Base Salary amount, subject to any discretionary increase or decrease in such amount by the Board or its Compensation Committee. The incentive bonus amount the Executive will actually receive, if any, shall be determined in the sole discretion of the Compensation Committee of the Board by evaluating the Executive’s and the Company’s performance against milestones and targets established by the Compensation Committee in consultation with the Executive. Any annual incentive bonus shall be paid to the Executive no later than the fifteenth day of the third month following the fiscal year for which such bonus was earned.
Annual Discretionary Bonus. During the Term, in respect of all calendar years beginning January 1, 2007, the Executive shall be eligible to receive an annual discretionary bonus in an amount equal to up to 75% of the then current Base Salary, based upon criteria determined by the MDC Executive and the Compensation Committee, which criteria shall include the Executive’s performance, the overall financial performance of the Company and such other factors as the MDC Executive and the Compensation Committee shall deem reasonable and appropriate (the “Annual Discretionary Bonus”). The MDC Executive shall communicate the criteria for the Annual Discretionary Bonus to the Executive within a reasonable period of time after such criteria have been established. The Annual Discretionary Bonus will be paid in accordance with the Company’s normal bonus payment procedures.
Annual Discretionary Bonus. If the Company's Board, in its sole discretion, approves an annual bonus for calendar year 2017 or any calendar year thereafter, the Employee will be eligible for a discretionary bonus award. The annual target for the Employee's bonus will be at 30% of the Employee's annualized base salary. The Company will determine, in its sole discretion, whether (and in what amount) a bonus award is payable to the Employee. In determining whether a bonus award in any given year shall be granted, the Company will review whether it has achieved its annually approved corporate goals as well as whether the Employee has achieved his/her personal objectives as established by the Company. In order to be eligible for any bonus hereunder, the Employee must be an active employee of the Company on the date such bonus is distributed.
Annual Discretionary Bonus. Effective as of the Effective Date, the Executive’s annual discretionary bonus shall be targeted at 75% of the Executive’s Base Salary (the “Target Bonus”). For performance year 2021, the amount of any bonus payable to the Executive shall be based on, for the period beginning on January 1, 2021 and ending on the day prior to the Effective Date, the Executive’s target bonus and base salary, in each case, as in effect prior to the Effective Date, and for the period beginning on the Effective Date and ending on December 31, 2021, his Target Bonus. The amount of any annual bonus payable to the Executive shall be determined by the Board based upon the Executive’s performance as well as the achievement of specific individual and corporate objectives established by the Board following consultation with the Executive. Except as provided in Section 8, the Executive must be an employee on the date that any annual bonus payable to the Executive is approved by the Board in order to earn any annual bonus. Any bonus will be paid in cash and will be paid no later than March 15 of the calendar year following the calendar year to which the bonus relates. The Executive’s bonus eligibility will be reviewed from time to time by the Board in accordance with normal business practice and is subject to change in the discretion of the Board.
Annual Discretionary Bonus. You will also be eligible to earn an annual discretionary bonus with a target amount equal to 40% of your annual base salary. The amount of this bonus will be determined in the sole discretion of the Company and based, in part, on your performance and the performance of the Company during the calendar year, as well as any other criteria the Company deems relevant, as set forth in the Company’s Employee Bonus Program or any successor bonus program sponsored by the Company.
Annual Discretionary Bonus. Employee shall be eligible for an annual discretionary bonus under the terms and conditions of a short-term incentive compensation program to be approved and adopted by the Board of Directors. The Chief Executive Officer of the Company shall determine the amount of the Employee's annual discretionary bonus, if any, based on both the performance of the Company and the performance of the Employee; provided, however, that to receive the bonus, Employee must be an "active employee in good standing" on the date that the bonus is paid. For purposes of this Employment Contract, an "active employee in good standing" shall mean that Employee (i) has not terminated employment with the Company for any reason; (ii) is not on probation of any kind from the Company; (iii) has not given notice under this Employment Contract pursuant to Section 5 hereof; and (iv) has not received written notice from the Company pursuant to Section 5 hereof.
Annual Discretionary Bonus. An annual discretionary bonus ("Discretionary Bonus"), the amount of which, if any, shall be determined by the Board of Directors of the Company in its sole and absolute discretion, which shall be paid to the Executive, with respect to any fiscal year of the Company, before the expiration of 74 days after the end of such fiscal year. In making bonus determinations, the Company shall evaluate the Executive's performance in accordance with the standard bonus guidelines used by the Company for executives of the Company in the same or a similar position as the Executive. In the event of an Extraordinary Transaction, as defined herein, in any year, then the Company shall, promptly after the Extraordinary Transaction, pay an amount equal to the discretionary bonus the Executive received with respect to the year prior to the year in which the Extraordinary Transaction occurred multiplied by a fraction the numerator of which is the number of days between the beginning of the year and the occurrence of the Extraordinary Transaction and the denominator of which is 365.
