Court Proceedings. (a) Each of Canopy Growth, Canopy Rivers and the JW Entities shall cooperate with and assist the Company in, and consent to the Company, seeking the Interim Order and the Final Order, including by providing the Company on a timely basis with any information regarding itself or its affiliates as reasonably requested by the Company or as required by Law to be supplied by it in connection therewith.
(b) In connection with all Court proceedings relating to obtaining the Interim Order and the Final Order, and in each case subject to Law, the Company shall:
(i) diligently pursue, and cooperate with Canopy Growth, Canopy Rivers and the JW Entities in diligently pursuing, the Interim Order and the Final Order;
(ii) provide Canopy Growth, Canopy Rivers, the JW Entities and their respective legal counsel with a reasonable opportunity to review and comment upon drafts of all material to be filed with the Court in connection with pursuing the Interim Order or the Final Order, and give reasonable consideration to all such comments;
(iii) provide legal counsel to each of Canopy Growth, Canopy Rivers and the JW Entities with copies of any notice of appearance, evidence or other documents served on the Company or its legal counsel in respect of the application for the Interim Order or the Final Order or any appeal from them, and any notice, written or oral, indicating the intention of any Person to appeal, or oppose the granting of, the Interim Order or the Final Order;
(iv) not object to legal counsel to Canopy Growth, Canopy Rivers or the JW Entities making such submissions on the hearing of the motion for the Interim Order and the application for the Final Order as such counsel considers appropriate, provided that the Company is advised of the nature of any submissions on a timely basis prior to the hearing and such submissions are consistent in all material respects with this Agreement and the Plan of Arrangement;
(v) ensure that all material filed with the Court in connection with pursuing the Interim Order or the Final Order is consistent in all material respects with this Agreement and the Plan of Arrangement;
(vi) oppose any proposal from any Person that the Final Order contain any provision inconsistent with this Agreement;
(vii) if at any time after the issuance of the Final Order and prior to the Effective Date, the Company is required by the terms of the Final Order or by Law to return to Court with respect to the Final Order, it shall do so after notice to, a...
Court Proceedings. Subject to the terms of this Agreement, Safety Shot shall cooperate with and assist Y▇▇▇▇▇ in seeking the Interim Order and the Final Order, including by providing to Yerbaé, on a timely basis, any information reasonably required to be supplied by Safety Shot in connection therewith. Yerbaé shall provide Safety Shot’s legal counsel with reasonable opportunity to review and comment upon drafts of all material to be filed with the Court in connection with the Arrangement, and will give reasonable consideration to all such comments. Court Proceedings. If the dispute is not resolved within 60 Business Days after notice is given under clause 7.2 then any party which has complied with the provisions of this clause 7 may in writing terminate any dispute resolution process undertaken under this clause and may then commence court proceedings in relation to the dispute.

Subject to applicable Law, the Company will not file any material with the Court in connection with the Arrangement or serve any such material, and will not and will not agree to modify or amend materials so filed or served, except as contemplated by this Section 2.7 or with Canopy Growth’s prior written consent, such consent not to be unreasonably withheld, conditioned or delayed. In addition, the Company will not object to legal counsel to Canopy Growth making such submissions on the hearing of the motion for the Interim Order and the application for the Final Order as such counsel considers appropriate, provided that the Company or its legal counsel is advised of the content and nature of any submissions on a reasonably timely basis prior to the hearing and such submissions are consistent in all material respects with this Agreement and the Plan of Arrangement. The Company will also provide Canopy Growth on a timely basis with copies of any notice of appearance and evidence or other documents served on the Company or its legal counsel in respect of the application for the Interim Order or the Final Order or any appeal therefrom and of any notice, whether or not in writing, received by the Company or its legal counsel indicating any intention to oppose the granting of the Interim Order or the Final Order or to appeal the Interim Order or the Final Order.
Court Proceedings. In connection with all Court proceedings relating to obtaining the Interim Order and the Final Order, the Company shall diligently pursue, and cooperate with the Purchaser in diligently pursuing, the Interim Order and the Final Order and the Company will provide the Purchaser and its legal counsel with reasonable opportunity to review and comment upon drafts of all material to be filed with the Court in connection with the Arrangement, including by providing on a timely basis a description of any information required to be supplied by the Purchaser for inclusion in such material, prior to the service and filing of that material, and will accept the reasonable comments of the Purchaser and its legal counsel with respect to any such information required to be supplied by the Purchaser and included in such material and any other matters contained therein. The Company will ensure that all material filed with the Court in connection with the Arrangement is consistent in all material respects with the terms of this Agreement and the Plan of Arrangement. In addition, the Company will not object to legal counsel to the Purchaser making such submissions on the application for the Interim Order and the application for the Final Order as such counsel considers appropriate, acting reasonably. The Company will also provide legal counsel to the Purchaser on a timely basis with copies of any notice and evidence served on the Company or its legal counsel in respect of the application for the Final Order or any appeal therefrom, and any notice, written or oral, indicating the intention of any Person to appeal, or oppose the granting of, the Interim Order or Final Order. Subject to Laws, the Company will not file any material with, or make any submissions to, the Court in connection with the Arrangement or serve any such material, and will not agree to modify or amend materials so filed or served, except as contemplated hereby or with the Purchaser’s prior written consent, such consent not to be unreasonably withheld or delayed; provided that nothing herein shall require the Purchaser to agree or consent to any increased purchase price or other consideration or other modification or amendment to such filed or served materials that expands or increases the Purchaser’s obligations, or diminishes or limits the Purchaser’s rights, set forth in any such filed or served materials or under this Agreement.
Court Proceedings. (a) Peak shall apply to the Court pursuant to section 291 of the BCBCA for the BC Interim Order and the BC Final Order as follows:
(i) Within ten (10) days of the date of execution of this Agreement, Peak shall file, proceed with and diligently prosecute an application to the Court for the BC Interim Order which shall request that the BC Interim Order shall provide:
(A) for the class of persons to whom notice is to be provided in respect of the BC Arrangement and the Peak Meeting and for the manner in which such notice is to be provided;
(B) that the requisite approval for the Peak Resolution shall be 66 2/3% of the votes cast on the Peak Resolution by the holders of Peak Common Shares present in person or by proxy at the Peak Meeting (the “Peak Shareholder Approval”);
(C) that in all other respects, the terms, conditions and restrictions of the Peak constating documents, including quorum requirements and other matters, shall apply in respect of the Peak Meeting;
(D) for the grant of Dissent Rights to the holders of Peak Common Shares;
(E) for notice requirements with respect to the presentation of the application to the Court for the BC Final Order;
(F) that the Peak Meeting may be adjourned from time to time by management of Peak without the need for additional approval of the Court;
(G) that the record date for Peak Shareholders entitled to notice of and to vote at the Peak Meeting will not change in respect of any adjournment(s) of the Peak Meeting; and
(ii) subject to obtaining the approvals as contemplated by the BC Interim Order and as may be directed by the Court in the BC Interim Order, take all steps necessary or desirable to submit the BC Arrangement to the Court and to apply for the BC Final Order.
(b) Metallica shall apply to the Court pursuant to Section 192 of the CBCA for the CBCA Interim Order and the CBCA Final Order as follows:
(i) Within ten (10) days of the date of execution of this Agreement, Metallica shall file, proceed with and diligently prosecute an application to the Court for the CBCA Interim Order which shall request that the CBCA Interim Order shall provide:
(A) for the class of Persons to whom notice is to be provided in respect of the CBCA Arrangement and the Metallica Meeting and for the manner in which such notice is to be provided;
(B) that the requisite approval for the Metallica Resolution shall be 66⅔% of the votes cast on the Metallica Resolution by the holders of Metallica Common Shares present in person or by proxy...
Court Proceedings. Except when teachers are pursuing their own interests or where answering charges against themselves, the employer will grant leave with pay when a teacher is required by subpoena to attend court proceedings as a witness or to serve on a jury; provided that where fees for service are paid, these fees shall be repaid to the employer for repayment to the Public Account.
Court Proceedings. (a) If the Dispute is not settled by negotiation in accordance with paragraph 1(b) or by mediation in accordance with paragraph 2 and the parties do not agree in writing to resolve the Dispute by arbitration in accordance with paragraph 3 within 10 days after the date of the conclusion of the mediation, either party may initiate court proceedings in respect of the Dispute subject to the other provisions of this Agreement.
(b) If proceedings have already been issued and served pursuant to paragraph 1(a), either party may apply for the stay to be lifted and shall give at least 10 days’ written notice of this application to the other party.
