Coordination of Efforts. The Parties will work in good faith to coordinate technical, sales, and support functions in connection with the Pilot and Interface. As of the Effective Date, the pricing for Partner Services for Athena clients is as set forth on Schedule A and Partner will provide written notice to Athena with any updates to its standard pricing for Athena clients from time to time. Partner will provide a reasonable level of training and support to Athena staff to enable Athena staff to promote Partner Services to Athena clients, including training of, and support provided to, Athena’s sales and account management personnel and providing Athena with demonstrations of Partner Services, and hereby authorizes Athena to perform such actions. Partner shall provide additional training and support as reasonably requested by Athena, as well as training on any updates to Partner Services. Each Party will maintain an individual responsible for managing its relationship with the other. Each such individual will be reasonably available to discuss matters of mutual concern with the other Party at its request. Each Party will use commercially reasonable efforts to promptly advise the other of complaints or claims from clients that come to their attention regarding the other’s services, provided that neither Party is required to disclose Confidential Information or to waive any privilege. Each Party will timely address such client issues in accordance with its standard processes and procedures. Neither Party shall be responsible for any support of the other’s services.
Coordination of Efforts. Prosper will coordinate Project activities relevant to the Broadway Bridge with County as necessary to obtain County input. Prosper will share information from the County (such as the “Structural and Site Integrity” items from Section 2 of this agreement) with staff, partners, agencies, developers, and contractors as related to the Project and relevant to the Broadway Bridge. Coordination of Efforts. I/PRO shall be responsible for the ------------------------ coordination of sales and marketing efforts, including the development and maintenance of a shared leads and sales database, and the scheduling of monthly joint sales meetings. The parties will coordinate their efforts to ensure that branding, logos, promotional look and product messages used by each Party shall be as consistent as possible. I/PRO and Nielsen will use reasonable efforts to minimize sales and customer conflicts in the Parties' respective sales efforts. Each Party will designate a contact person for the other Party with respect to activities under this Agreement, and the operational employees form the major departments of each Party will establish direct relationships.
Coordination of Efforts. In the event Supplier determines that a ----------------------- recall, withdrawal, field correction or field alert report with respect to any Product by GWI may be necessary and/or appropriate, Supplier shall immediately notify GWI's Vice President of Quality Assurance of its determination. The parties shall cooperate with each other in determining the necessity and nature of such action; provided, however, that Supplier shall take no action to effect the same without the written concurrence of GWI. If GWI does not concur with any recall, withdrawal, field correction or field alert recommended by Supplier, then GWI shall be liable for any Losses incurred by Supplier or GWI arising solely out of the delay caused by GWI in implementing the same, except to the extent Supplier withheld material information or misrepresented the material information upon which GWI made its determination.
Coordination of Efforts. In the event Nordion believes that a recall, withdrawal, field correction, field alert report or comparable report with respect to any Labeled Drug may be necessary and/or appropriate, Nordion shall immediately notify Corixa. The Parties shall cooperate with each other in determining the necessity and nature of such action; provided, however, that Nordion shall take no action to effect the same without the written concurrence of Corixa. If Corixa does not concur with any recall, withdrawal, field correction, field alert report or comparable report recommended by Nordion, then, without limiting any liability Corixa otherwise has under this Agreement, Corixa shall be liable under this Section 5.8 for any losses incurred by Nordion or Corixa that could have been avoided but for the delay, except to any extent Nordion withheld material information or misrepresented the material information upon which Corixa made its determination.
Coordination of Efforts. In the event that Chemport becomes aware of information that may warrant Amarin taking any action with respect to any Product, Chemport shall immediately provide the Amarin head of regulatory affairs such information. The Parties shall cooperate with each other in determining the necessity and nature of such action; provided, however, that Chemport shall take no action to effect the same without the written concurrence of Amarin.
Coordination of Efforts. In order to coordinate the efforts of Berthel and the Company, and to maximize the possibility of consummating a Financing or Merger during the term of this Agreement, Berthel shall have the sole and exclusive authority to initiate discussions with potential investors/clients/purchasers. In the event the company, its directors, officers, employees or shareholders receive any inquiries or conduct any discussions concerning a Financing or Merger, such inquiries and discussions shall be promptly referred to Berthel.
Coordination of Efforts. In order to coordinate the efforts of both Ladenburg and the Company, and to maximize the possibility of consummating a Sale during the term of this Agreement, Ladenburg shall have the sole and exclusive authority to initiate and conduct discussions with potential investors. In the event that the Company, its directors, officers, employees or shareholders receive any inquiries from or conduct any discussions with potential investors concerning the availability of the Sale, such inquiries and discussions shall be promptly referred to Ladenburg.

In the event Pharmachemie determines that a recall, withdrawal, field correction or field alert report with respect to any Agreement Product by SuperGen may be necessary and/or appropriate, Pharmachemie shall immediately notify SuperGen's of its determination. The parties shall cooperate with each other in determining the necessity and nature of such action; provided, however, that Pharmachemie shall take no action to effect the same without the written concurrence of SuperGen. If SuperGen does not concur with any recall, withdrawal, field correction or field alert recommended by Pharmachemie, then SuperGen shall be liable for any losses incurred by Pharmachemie or SuperGen arising solely out of the delay caused by SuperGen in implementing the same, except to the extent Pharmachemie withheld material information or misrepresented the material information upon which SuperGen made its determination. 32 CONFIDENTIAL TREATMENT REQUEST 3.20.
