Field Correction definition

Field Correction means any action taken or changes performed affecting a distributed product to mitigate a risk to health or correct issues with misbranded or non-conforming product.
Field Correction has the meaning set forth in Section 7.1.
Field Correction shall have the meaning set forth in Section 4.3.

Examples of Field Correction in a sentence

  • In such event, ▇▇▇▇▇▇ shall have the sole authority to determine if a Recall or other removal of the Licensed Product is required in the Licensed Territory, and shall be responsible for conducting any such Recall, Withdrawal, Field Correction or other removal of any Licensed Product from the Licensed Territory, whether voluntary or involuntary, or taking such other remedial action required by applicable Laws in the Licensed Territory.

  • For avoidance of doubt, Onconova shall have the sole authority to determine if a Recall, Withdrawal Field Correction or other removal of the Licensed Product is required outside of the Licensed Territory and shall bear all costs and expenses incurred therewith.

  • ABI shall bear the direct costs and expenses of and shall be responsible for all corrective actions and agency communications associated with such Recall or Field Correction to the extent such Recall or Field Correction results from any cause or event (i) arising from the responsibility of ABI under this Agreement, or (ii) otherwise attributable solely to ABI.

  • If any Product defect or any final, non-appealable governmental or court action or any voluntary action by ABI results in: (A) the recall, destruction or withholding from market of any Product sold under this Agreement (hereinafter "Recall"); or (B) institution of a field correction of any Product sold under this Agreement (hereinafter "Field Correction").

  • Should such Recall, MDR or Field Correction result from the fault of both parties, the parties shall share such costs and expenses in accordance with their proportionate fault.

  • SYNOVA will not initiate any Recall or Field Correction unless SYNOVA provides prior written notice of the proposed Recall or Field Correction to ABI, and affords ABI a reasonable opportunity to comment on and influence the proposed Recall or Field Correction in advance of its implementation.

  • SYNOVA will be responsible for, and bear the direct costs of any Recall and/or Field Correction to the extent such Recall and/or Field Correction results from any cause or event arising from the responsibilities of SYNOVA under this Agreement, or otherwise attributable solely to SYNOVA.

  • Neither ABI nor SYNOVA shall initiate a Recall or Field Correction until such party has communicated its intention to the other party, and provided the other party with data and information relating to the proposed Recall or Field Correction and a reasonable opportunity to evaluate and comment on its implementation.

  • The Business Information was prepared using materially accurate data derived from the books and records related to the Business, and fairly presents in all material respects such information of the Business as of the dates indicated, provided that, the Business Information does not include the effect of the Field Correction (as such term is defined in the Disclosure Schedule).

  • SYNOVA will provide ABI with direct access to those SYNOVA customers affected by the Recall or Field Correction, and all information received or compiled by SYNOVA from such customers or otherwise with respect to such Recall or Field Correction.

Related to Field Correction

  • Error Correction means the use of reasonable commercial efforts to correct Errors.

  • Correction as used in this clause, means the elimination of a defect.

  • Remanufacturing means the activity of overhauling, retrofitting, fabricating, or repairing a product or its component parts for ultimate sale at retail.

  • Nonconformance as used in this clause means a condition of any hardware, software, material, or service/workmanship in which one or more characteristics do not conform to requirements.

  • Manufacturing means all activities directed to sourcing of necessary raw materials, producing, processing, packaging, labeling, quality assurance testing, release of a Licensed Product or Licensed Product candidate, whether for Development or Commercialization. When used as a verb, “Manufacture” means to engage in Manufacturing.
