Testing and Quality Assurance bioMérieux shall ensure, at its own expense, that any and all necessary U.S and E.U (if applicable) regulatory approvals have been obtained in connection with any facilities used in connection with the development and manufacture of the Instrument, Consumables and Assays, as applicable, under this Agreement.
Testing and Quality Assurance. 5.1 Quality Assurance. Manufacturer will maintain quality assurance systems for the control of Material quality, processing, assembly, testing, packaging and shipping in accordance with its usual policies and practices, and pursuant to any additional requirements set forth in this Agreement. Manufacturer will use its best efforts to prevent and, as applicable, will promptly remedy, any conditions within its control that could compromise the quality or reliability of the Products or the Manufacturing Process.

Testing and Quality Assurance. MKE shall notify Replay in writing ----------------------------- at least [***] days in advance of providing Replay with any new MKE Product that MKE desires be tested for commercial release, and [***] days or such lesser agreed upon time period for any modifications or improvements to any existing MKE Product to be so tested. MKE shall provide Replay an agreed upon number of units of such MKE Product necessary for Replay's testing and quality assurance, including full compliance and operation with the Replay Device Software, Replay Server Software and the RTVS. Replay shall conduct such testing within [***] days after receipt of such units, and shall notify MKE in writing of the results of such tests. In the event that any unit fails such Replay testing and quality assurance, the parties will meet to coordinate a review and analysis of the problems discovered by Replay. MKE shall not ship any new MKE Product until Replay determines that such product meets such testing and quality assurance.
Testing and Quality Assurance. ACG warrants that all Sand Processed for GFES under this Agreement will meet the standards of the API/ISO specifications (“Specifications”) for fracturing sand in effect at the time of Processing of the Sand. GFES will have the opportunity to conduct independent API/ISO testing to ensure the quality of the Sand meets GFES’ requirements prior to final payment. If GFES believes that any Sand mined and refined under this Agreement does not meet the quality set forth in this Agreement, it will notify ACG by telephone, confirmed in writing, not less than seventy-two (72) hours after it receives any gradation report on the subject Sand. For the purposes of this Agreement, the Sand will be considered Processed, once it is mined and refined into API/ISO approved fracturing sand. In the event that a material change in the Specifications causes a change in the Processing cost, ACG and GFES will cooperate in good faith to determine if an adjustment to the Processing Fee is warranted. The adjustment will be based on the increase or decrease in the actual direct costs associated with the Processing of the Sand as compared to the budgeted costs which gave rise to the agreed on $29 per ton. The Processing Fee will be adjusted to an amount not to exceed the actual direct costs plus twenty five percent (25%), effective from the time of the adjustment. *** Certain information in this document has been omitted and filed separately with the Securities and Exchange Commission. Confidential treatment has been requested with respect to the omitted portions. ACG will maintain on site effective laboratory means for the testing and verification of the refined Sand according to industry approved API/ISO standards and specifications. ACG will test the Sand in accordance with the current customary procedures. The quality and sampling procedures utilized by ACG as of the date of this Agreement are described on EXHIBIT B attached hereto. No changes may be made to these procedures without the consent of GFES. ACG will keep reasonably complete and accurate records regarding the testing of Sand as well as adequate samples of such Sand and ensure appropriate industry recognized sampling procedures and techniques are utilized and adhered to. GFES will have the right, upon reasonable notice and during ACG’s business hours, to inspect such records to verify that, the Sand meets the Specifications.

Vision will port the test suite to enable testing of the BLS/WAS-AE product. In addition, Vision will develop new tests for the integrated product. Testing and Quality Assurance. Pharmachemie shall implement and perform operating procedures and controls for sampling, stability and other testing, validation, documentation and release of the Agreement Products and such other quality assurance and quality control procedures consistent with the Specifications and CGMP. In the event that either party becomes aware that any shipment of Agreement Products has a nonconformity, despite Pharmachemie's testing and quality assurance activities and despite SuperGen's acceptance, such party shall immediately notify the other party. "Nonconformity" shall mean a product characteristic attributable to Pharmachemie's failure to manufacture, - test, package or store any Agreement Product in accordance with the Specifications and CGMP which was not discovered prior to release of such Agreement Product.
Testing and Quality Assurance. The QAA shall detail the respective quality assurance obligations and responsibilities of the Parties with respect to the Manufacture and supply of Intermediate Material. Notwithstanding anything to the contrary in this Agreement or in any other document or agreement, in the event of a conflict between this Agreement and the QAA, the QAA shall govern and control for matters related to quality only. For all other matters this Agreement shall exclusively govern and control.
