Contractor's Personnel and Staffing. Contractor warrants that all persons assigned to perform services under this Contract are either lawful employees of Contractor or lawful employees of a Subcontractor authorized by the State Entity as specified in the RFX. All persons assigned to perform services under this Contract shall be qualified to perform such services. Personnel assigned by Contractor shall have all professional licenses required to perform the services.

Contractor's Personnel and Staffing. Contractor warrants that all persons assigned to perform the Services under this Contract are either lawful employees of Contractor or lawful employees of a Subcontractor authorized by the State Entity. All of Contractor or any subcontractor's personnel shall comply with the confidentiality requirements of the Contract and the security requirements of the applicable State Entity while on state property. In the event that any of Contractor or subcontractor's personnel do not comply with such confidentiality and security requirements, the State Entity may have the personnel removed from the premises. All persons assigned to perform the Services under this Contract shall be qualified to perform such Services. Personnel assigned by Contractor shall have all professional licenses required to perform the Services. If the State Entity believes that the performance or conduct of any person employed or retained by Contractor to perform any Services hereunder is unsatisfactory for any reason or is not in compliance with the provisions of this Contract, the State Entity shall notify Contractor in writing and Contractor shall promptly address the performance or conduct of such person, or, at the State Entity's request, immediately replace such person with another person acceptable to the State Entity and with sufficient knowledge and expertise to perform the Services in accordance with this Contract. Contractor warrants that an adequate number of appropriately qualified personnel will be employed and available to provide the Services in accordance with the schedule and maintenance requirements set forth in the RFX and this Contract.

The parties recognize that it may be necessary or desirable to remove personnel and assign replacement personnel during the Project. The State Entity has the right to have the project manager and any staff member removed from the project in its sole discretion. If Contractor or State Entity finds it necessary to substitute one or more of Contractor’s personnel during the Project, Contractor will coordinate such reassignment with the State Entity’s Project Manager so that appropriately skilled and experienced personnel are assigned to the Project as expeditiously as possible. Contractor will ensure that an alternate Project Manager and/or staff member is ready to assume the duties on short notice. Contractor shall not charge State Entity for any time necessary to train replacement personnel or familiarize them with the Project. Any Contractor personnel who are removed from the project shall immediately relinquish and return all Project materials including working documents, computer files, and any passwords or authorizations into the State Entity’s systems. Contractor shall provide written documentation to the State Entity’s Project Manager within 24 hours of the removal of any person from the project verifying that this process has been accomplished .

  • Contractor’s Personnel Contractor warrants that all Contractor personnel engaged in the performance of Work under this Contract shall possess sufficient experience and/education to perform the services requested by the County. County expressly retains the right to have any of the Contractor personnel removed from performing services under this Contract. Contractor shall effectuate the removal of the specified Contractor personnel from providing any services to the County under this Contract within one business day of notification by County. County shall submit the request in writing to the Contractor’s Project Manager.   • Contractor Key Personnel ‌ The Contractor shall assign a Corporate OASIS Program Manager (COPM) and Corporate OASIS Contract Manager (COCM) as Contractor Key Personnel to represent the Contractor as primary points-of-contact to resolve issues, perform administrative duties, and other functions that may arise relating to OASIS and task orders solicited and awarded under XXXXX. Additional Key Personnel requirements may be designated by the OCO at the task order level. There is no minimum qualification requirements established for Contractor Key Personnel. Additionally, Contractor Key Personnel do not have to be full-time positions; however, the Contractor Key Personnel are expected to be fully proficient in the performance of their duties. The Contractor shall ensure that the OASIS CO has current point-of-contact information for both the COPM and COCM. In the event of a change to Contractor Key Personnel, the Contractor shall notify the OASIS CO and provide all Point of Contact information for the new Key Personnel within 5 calendar days of the change. All costs associated with Contractor Key Personnel duties shall be handled in accordance with the Contractor’s standard accounting practices; however, no costs for Contractor Key Personnel may be billed to the OASIS Program Office. Failure of Contractor Key Personnel to effectively and efficiently perform their duties will be construed as conduct detrimental to contract performance and may result in activation of Dormant Status and/or Off-Ramping (See Sections H.16. and H.17.).

  • Contractor Staff All employees of the Contractor, or of its subcontractors, who perform Project Based IT Consulting Services under the resulting Authorized User Agreement, shall possess the necessary qualifications, training, licenses, and permits as may be required within the jurisdiction where the services specified are to be provided or performed, and shall be legally entitled to work in such jurisdiction.
