Order of Preference. In the case of any inconsistency or conflict among the specific provisions of the State Entity Standard Contract Terms and Conditions (including any amendments accepted by both the State Entity and the Contractor attached hereto), the RFX (including any subsequent addenda), and the Contractor’s Response, any inconsistency or conflict shall be resolved as follows:
Order of Preference. Any conflict to the provisions of this Agreement and the documents incorporated by reference shall be determined by the following priority order:

Order of Preference. If attachments are included in this Agreement and in the event of any inconsistency between the attachments and the terms of this Agreement, the inconsistency will be resolved by giving preference in the following order:
Order of Preference. In the event of a conflict between the Enterprise Services Agreement and Order Form, the order of preference will be the Enterprise Services Agreement, then the Order Form, unless the Special Contractual Terms section of the Order Form clearly specifies that it modifies the Enterprise Services Agreement.
Order of Preference. All sales by BLP to ISTA of Product shall be subject to the provisions of this Agreement and any provision of any Purchase Order placed by ISTA or order acknowledgment sent by BLP which is inconsistent herewith or in addition hereto shall be null and void unless accepted by the receiving party in writing and signed by one of its authorized representatives.
Order of Preference. For all purposes under this Agreement, in the event of a conflict, the order of precedence will be, (a) a Product order executed by both parties; (b) this Agreement; and (c) MaxLinear’s Terms and Conditions of Sale. No terms, provisions or conditions of any Distributor purchase order, acknowledgement or other business form that Distributor may use in connection with this Agreement shall have any effect on the rights, duties or obligations of the parties under, or otherwise modify, this Agreement, regardless of any failure of MaxLinear to object to such terms, provisions or conditions.
