Transcription Services means any transcribing services and/or editing services provided by DHS pursuant to an Order, as specified in an Order and more fully described in the applicable Schedule for Transcription Services.

In the event that Licensee does not meet the MVC, Licensor’s sole remedy shall be the payment of the Minimum Payment by Licensee as set forth in Section 3.2. A breach of the Minimum Payment obligation by Licensee would be a substantial and material breach of this Agreement. The parties further agree and clarify that:
