Compensation Business Expenses. For the services provided by Consultant during the Consulting Period, the Company shall pay Consultant a consulting fee of $5,000 per month during the Consulting Period. The Company shall pay or reimburse Consultant for all reasonable bona fide business expenses incurred by Consultant in the performance of services under this Agreement in accordance with expense reimbursement plans consistent with policies in effect for consultants to the Company generally.

Compensation Business Expenses. (a) Executive's salary shall be payable in equal installments (not less frequently than monthly) in accordance with the Company's customary payroll practices. No additional compensation shall be payable to Executive by reason of the number of hours worked or by reason of any hours worked on Saturdays, Sundays, holidays or otherwise. All compensation payable to Executive hereunder (whether in the form of salary, benefits or otherwise) shall be subject to all applicable laws, statutes, governmental regulations or orders, the terms of all applicable Executive Benefit Plans and the terms of all agreements between or binding upon the Company and Executive requiring the deduction or withholding of any amounts from such payments, and the Company shall have the right to make such deductions and withholdings in accordance with the Company's interpretation thereof in the Company's sole discretion.
Compensation Business Expenses. (a) As base compensation for the Services, during the Consulting Period, the Company shall pay Consultant at the rate of ten thousand USD ($10,000.00) per month for which Consultant provides the Services for the Company.
Compensation Business Expenses. During the Term, the Company shall pay base compensation to Executive as follows: (i) from the Effective Date through September 30, 2009, at the same rate of base compensation and according to the same pay schedule that was in effect on July 31, 2009, and (ii) beginning on October 1, 2009 and through the Termination Date, at the rate of Thirty-Four Thousand Dollars ($34,000) per month and according to the same pay schedule that was applicable to Executive on July 31, 2009. In addition to the foregoing amounts, Executive shall also be eligible to receive a pro-rated short-term incentive (“STI”) bonus in respect of the 2009 calendar year pursuant to the Company’s STI Plan and based on Executive’s rate of compensation in effect on July 31,2009. Pursuant to the STI Plan, the Company performance component shall be calculated based on the Company Scorecard and the individual performance component shall be calculated as 100%. The STI bonus for 2009 shall be pro-rated to reflect the number of calendar days from January 1, 2009 through September 30, 2009 and shall be paid not later than March 15,2010, provided that Executive’s employment with the Company is not terminated by the Company for cause, or by Executive without good reason, on or before September 30,2009 (in which case Executive shall not be entitled to any STI bonus for 2009). Executive agrees and acknowledges that he will not be eligible to receive an STI plan bonus with respect to his employment on or after the period beginning on October 1, 2009. In addition, during the Term, Company shall reimburse Executive for all reasonable out-of-pocket expenses according to the Company’s standard policies, practices and procedures as customarily applied to executives. For purposes of this Agreement, “good reason” means a material breach of this Agreement by the Company that is not cured within thirty (30) days after receipt of notice of the alleged breach.
Compensation Business Expenses. During the Consulting Period, the Consultant shall not be entitled to any additional compensation beyond the severance benefits provided under Section 8(e) of the Employment Agreement by and between the Company and the Consultant dated December 19, 2013 (the “Employment Agreement”) in accordance with the terms thereof (including an additional thirty (30) days of pay in lieu of notice of termination as required by Section 8(h)(ii) of the Employment Agreement) and any expense reimbursements contemplated by the last sentence of this Section 4; provided, however, that the cash severance amount determined in accordance with Section 8(e)(ii) of the Employment Agreement shall be paid to the Consultant as follows: (a) the aggregate amount determined in accordance with Section 8(e)(ii) of the Employment Agreement less $520,000 shall be paid in five (5) equal monthly installments on the first business day of each calendar month commencing in November 2014 and ending in March 2015, and (b) the remaining $520,000 shall be paid in seven (7) equal monthly installments on the first business day of each calendar month commencing in April 2015 and ending in October 2015. Schedule A hereto sets forth each of the severance payments and benefits set forth under clauses (ii) through (v) of Section 8(e) of the Employment Agreement, the payment in lieu of notice of termination under Section 8(h)(ii) of the Employment Agreement, and the timing of each such payment and benefit, as amended hereby. As required by the Employment Agreement, the Company’s obligations to pay or provide the severance benefits under Section 8(e) of the Employment Agreement shall be subject to the Consultant’s execution of the General Release Agreement attached hereto as Exhibit A within thirty (30) days following the Employment Termination Date. Except as otherwise modified by this Section 4, the post-employment rights and obligations under the Employment Agreement (including, without limitation, the rights and obligations contained in Sections 12 through 15 thereof) shall remain in full force and effect in accordance with the terms thereof. Upon presentation of appropriate documentation, the Consultant shall be reimbursed, in accordance with the Company’s expense reimbursement policy, for all reasonable business expenses incurred in connection with the Consultant’s performance of the Services.

  • Business Expenses The Company shall reimburse the Executive for any and all necessary, customary and usual expenses, properly receipted in accordance with Company policies, incurred by Executive on behalf of the Company.

  • Reimbursement of Business Expenses Executive is authorized to incur ordinary, necessary, and reasonable business expenses in connection with the performance of his duties, responsibilities, and authorities under this Agreement and for the promotion of the Company’s business and activities during this Agreement, including but not limited to expenses for necessary travel and entertainment and other items of expense required in the normal and routine course of Executive’s employment under this Agreement.   • Business Expense Reimbursements During the Term, the Company shall promptly reimburse Executive for Executive’s reasonable and necessary business expenses in accordance with the Company’s then-prevailing policies and procedures for expense reimbursement (which shall include appropriate itemization and substantiation of expenses incurred).

Other Fund expenses incurred shall be borne by the Fund or the Fund’s investment adviser, including, but not limited to, initial organization and offering expenses; the blue sky registration and qualification of Shares for sale in the various states in which the officers of the Fund shall determine it advisable to qualify such Shares for sale (including registering the Fund as a broker or dealer or any officer of the Fund as agent or salesman in any state); litigation expenses; taxes; costs of preferred shares; expenses of conducting repurchase offers for the purpose of repurchasing Fund shares; administration, transfer agency, and custodial expenses; interest; Fund directors’ or trustees’ fees; brokerage fees and commissions; state and federal registration fees; advisory fees; insurance premiums; fidelity bond premiums; Fund and investment advisory related legal expenses; costs of maintenance of Fund existence; printing and delivery of materials in connection with meetings of the Fund’s directors or trustees; printing and mailing of shareholder reports, prospectuses, statements of additional information, other offering documents and supplements, proxy materials, and other communications to shareholders; securities pricing data and expenses in connection with electronic filings with the U.S. Securities and Exchange Commission (the “SEC”).

  • Business Expense Reimbursement During the Term of employment, the Executive shall be entitled to receive proper reimbursement for all reasonable, out-of-pocket expenses incurred by the Executive (in accordance with the policies and procedures established by the Company for its senior executive officers) in performing services hereunder, provided the Executive properly accounts therefore.
