City Support. The City Support is defined as all activities regarding the Application such as transaction issues, reports, content changes, host environment and system upgrades and issues with the payment processor. Metavante shall assign to the City an account manager who will be the City’s primary point of contact for any issues regarding the Application and all City Support activities.
City Support. The City hereby agrees to and shall actively and publicly support the approval of the Application in its entirety, and otherwise assist SBC in securing the CPUC’s approval of the Application by, among other means, undertaking the activities described in this Section 3.1.
City Support. (A) In addition to the funding provided herein the City shall make available to HMI space in the Manassas Train Station located at 0000 Xxxx Xxxxxx, or at another location in Downtown Manassas that is mutually agreeable to both parties, for both a Visitors Center, if provided by HMI, and a suite of offices / work area for HMI operations. The area designated for use by HMI shall include just the western portion of the Train Station ending at the partition wall which separates the Visitor Center area and the Xxxxx and Xxxxxx Xxxxx Railroad Heritage Gallery. The City retains the right to use other areas of the Train Station for exhibits, receptions and other events upon reasonable notice to HMI. Smoking is prohibited in the Train Station.
City Support. (A) CITY acknowledges its desire to enhance and diversify the existing range of markets served by CITY’S visitor accommodations sector to include facilities serving a high-end, niche market, by encouraging appropriate, destination resorts and spas unique to the City of Calistoga while provide housing to offset the demand created by the project. CITY believes that developing lands such as the PROPERTIES, which are located in the downtown with an established history as a resort and spa development is in the best interests of the CITY.
City Support. Upon execution of this Agreement, the City agrees to use its best efforts to support the construction of the New Facilities before the PSCW and other applicable regulatory or governmental bodies. Subject to the requirements of this paragraph 7, nothing in this Agreement shall be construed as an agreement by the City to grant City approvals, which shall remain subject to the Planning and Conditional Use Permit processes noted above.
City Support. In addition to the compensation to be paid to SELF as set forth herein, the CITY also agrees to provide office and meeting space for SELF to meet with residents in its performance of this AGREEMENT. Office space will include space for the fulltime SELF personnel to meet privately with clients during regular CITY business hours. SELF will coordinate with the CITY’s Electric Utility Director or designee on the office space. Meeting space includes space for public meetings and for larger group client consultation meetings. The meeting space will be of adequate size for the attendees and be based on availability. SELF will coordinate with the CITY and communicate its needs for meeting space for public meetings at least two (2) months in advance and for client consultation meetings preferably one

  • Customer Support If Customer is entitled to receive Customer Support as part of a separately purchased Service Plan, Sage warrants that while Customer’s Service Plan is in effect and if it has paid all required Service Plan fees, Sage will use qualified personnel to provide Customer Support in a professional manner consistent with industry standards. Customer’s sole remedy under this section 5.2 is limited to Sage’s re-performance of the Customer Support services giving rise to Customer’s claim.

  • TAX SUPPORT SERVICES BNY Mellon shall provide the following tax support services for each Fund: § Provide various data and reports as agreed upon in the SLDs to support TRP’s tax reporting and tax filing obligations, including: · Wash sales reporting; · QDI reporting; · DRD reporting; · PFIC analysis; · Straddle analysis; · Paydown adjustments; · Equalization debit adjustments · Tax compliance under §851, §817(h); · Foreign bond sale analysis (§988); · Troubled debt analysis; · Estimation of income for excise tax purposes; · Swap analysis; · Inflation adjustments; · §1256 adjustments; · Market discount analysis; · OID adjustments; · CPDI analysis; · Shareholder tax reporting information (e.g. FTC, UGG income, foreign source income by country, exempt income by state); § Provide data, and reports based on such data, maintained by BNY Mellon on its fund accounting platform as reasonably requested by TRP to support TRP’s obligations to comply with requests from tax authorities and TRP’s tax reporting and tax filing obligations. § Assist with other tax-related data needs as mutually agreed upon in writing from time-to-time.

  • Child Support (Applicable if the Party is a natural person, not a corporation or partnership.) Party states that, as of the date the Agreement is signed, he/she:

  • Service and Support 1. Brainlab shall be responsible for providing service and support for the Brainlab Technology in all Fields of Use. Brainlab shall be responsible for providing Xxxxx 0 and Level 2 service and support to customers for Products sold by Brainlab in the Therapeutic Delivery Field of Use and for Integrated Products sold by Brainlab in the MR Guided Stereotactic Placement Field of Use. Level 1 support shall include onsite training, help desk services, reseller interfacing, problem isolation and diagnosis, and Level 2 support shall include loading bug fixes, patches, and minor repair services. To the extent relating to SurgiVision Technology, SurgiVision shall provide Level 3 support, which shall include backup support services to assist Brainlab in meeting Level 1 and Level 2 support obligations by addressing certain technical support issues that are beyond the scope of Brainlab’s expertise. Brainlab will pay SurgiVision for Xxxxx 0 support services at standard rates as described in Appendix C, provided that such services were not required for Co-Development and Distribution Agreement between SurgiVision, Inc. and Brainlab Aktiengesellschaft CONFIDENTIAL warranty repair as contemplated in section X.3 below. Appendix C may be changed from time to time, as appropriate upon the mutual agreement of Brainlab and SurgiVision. SurgiVision will provide spare parts and other items for service to Brainlab at a price equal to [***]. Brainlab reserves the right to offer service packages to the end customer at its discretion.

  • Services and Support 1.1 In exchange for your continued compliance with this Agreement, and any modification to this Agreement made by Intuit in accordance with Sections A.11, you shall have access to the Software/Subscription in accordance with the following provisions:

This feature allows Budget Phone's name on whose behalf BellSouth is providing Directory Assistance and/or Operator Call Processing. Rates for the branding features are set forth in Exhibit E.
