Authority of Plan Administrator. The Plan Administrator shall have full power and authority to adopt rules and regulations for the administration of the Plan, provided they are not inconsistent with the provisions of this Plan, and Section 409A of the Code, to interpret, alter, amend or revoke any rules and regulations so adopted, to enter into contracts on behalf of the Bank with respect to this Agreement, to make discretionary decisions under this Plan, to demand satisfactory proof of the occurrence of any event that is a condition precedent to the commencement of any payment or discharge of any obligation under the Plan, and to perform any and all administrative duties under this Plan.

Authority of Plan Administrator. The Plan Administrator shall have the authority to administer the Agreement and the Plan; to make all determinations with respect to the construction and application of the Agreement, the Plan, and the resolutions of the Board of Directors establishing the Plan; to adopt and revise rules relating to the Agreement and the Plan; to hire the Agent with respect to its administrative responsibilities under the Agreement and the Plan; and to make other determinations which it believes are necessary or advisable for the administration of the Agreement and the Plan. Any dispute or disagreement which arises under this Agreement or the Plan shall be resolved by the Plan Administrator in its absolute discretion. Any such determination, interpretation, resolution, or other action by the Plan Administrator shall be final, binding and conclusive with respect to the Grantee and all other persons affected thereby.
Authority of Plan Administrator. As conditions precedent to the granting of the option and all other rights provided hereunder, the Optionee and any other person who acquires any rights hereunder agrees that any dispute or disagreement which shall arise under, or as a result of, or pursuant to, this Agreement may be determined by the Plan Administrator constituted under the Plan (the "Plan Administrator") in the Plan Administrator's absolute and uncontrolled discretion; and that any such determination or interpretation of the terms of this Agreement or the Plan or any other determination by either such Plan Administrator shall be final, binding and conclusive on all persons affected thereby. The Plan Administrator shall have the authority to administer the Plan, make all determinations with respect to the construction and application of the Plan, the Board resolutions establishing the Plan and this Agreement, adopt and revise rules and regulations relating to the Plan and make any other determinations which it believes necessary or advisable for the administration of the Plan (subject to the provisions of the Plan regarding Plan administration). Questions regarding the options granted under this Agreement and the administration of the Plan may be addressed to the Treasurer's Department of the Corporation. 13.

All such actions or determinations made by the Plan Administrator, and the application of rules and regulations to a particular case or issue by the Plan Administrator, in good faith, shall not be subject to review by anyone, but shall be final, binding, and conclusive on all persons ever interested hereunder. In construing the Plan and in exercising its power under provisions requiring Plan Administrator approval, the Plan Administrator shall attempt to ascertain the purpose of the provisions in question and when such purpose is known or reasonably ascertainable, such purpose shall be given effect to the extent feasible. Likewise, the Plan Administrator is authorized to determine all questions with respect to the individual rights of all Participants and their Beneficiaries and Alternate Payees under this Plan, including, but not limited to, all issues with respect to eligibility, Compensation, service, valuation of Accounts, allocation of consolidated contributions and Trust Fund earnings, and retirement or Termination of Employment, and shall direct the Trustee concerning the allocation, payment and distribution of all funds held in trust for purposes of the Plan. The Plan Administrator, in the exercise of any discretionary powers hereunder, shall not exercise that discretion so as to discriminate in favor of Highly Compensated Employees. The Plan Administrator shall establish investment objectives and monitor, or cause to be monitored, the investment performance of the Trustee or any Investment Manager which may be appointed with respect to any assets of the Plan.

The Plan Administrator may appoint such accountants, counsel, actuaries, specialists, and other persons as he deems necessary or desirable in connection with the administration of this Plan, and shall be the agent for the service of process.

Authority of Plan Administrator. The Plan Administrator has the sole and absolute discretionary authority to interpret and to make determinations with regard to the terms, conditions or administration of the Plan, including, but not limited to issues regarding conflicting provisions, doubtful terms, the determination of claims or eligibility for benefits. This authority will include the power to publish rules of plan administration, the power to settle any disputes as to the rights or benefits arising from the Employee Assistance Program, the power to appoint agents and delegate duties, and the power to make any decisions or take any actions that the Plan Administrator deems necessary or advisable to aid in the proper administration of the EAP Program. The Plan Administrator's decisions will be final and binding upon all persons. The Plan Administrator, through its duly authorized representatives, reserves the right to amend, suspend or terminate all or any provision of the Plan, subject to the applicable collective bargaining agreement. No other entity or person has the authority to amend, suspend or terminate the Plan, commit the Plan to any benefit not approved by the Plan or waive any of the Plan provisions. If material changes are made, you will be notified. Upon termination or partial termination of the Plan, coverage will cease as of the effective date of termination or partial termination.
