AGREEMENTS WITH BILLERS. You must be registered with each Xxxxxx for online access to your Billers’ websites and/or to receive online bills from your Billers, and you must review the Billers’ instructions and disclosures for receiving online bills. This Agreement does not alter your liability or obligations that exist between you and your Billers, such as your account agreements, the Billers’ instructions for online bills, and the Billers’ website terms and conditions. You acknowledge and agree that you are solely responsible for determining whether e-bill does or does not comply with the terms and conditions of your agreements with your Billers.

Stop Payment In order to stop payment you must give People's United notice of your request for a stop payment in time for People's United to act. To place the order into effect, we require that the stop payment request be received by the Bank three (3) business days or more before the payment is scheduled to be made. The stop payment order provisions of the BDAC apply to stop payment orders placed through eTreasury+. The burden of establishing the fact and amount of loss resulting from the payment of an item contrary to a stop payment order or order to close an account is your responsibility. When you use eTreasury+ to request a stop payment on a check or other item, you must click the Account Services menu selection. Next click on the Stop payment request link under Stop Payment and provide the requested stop payment information. You may be able to cancel a stop payment request by clicking the Cancel link on the Stop Payment Activity Report for the stop payment request you want to cancel. You may cancel or delete the various types of transfers and payments (including preauthorized transfers) that may be made with eTreasury+. Refer to the instructions provided in eTreasury+. If we receive your order to stop one of these payments three (3) Business Days or more before the transfer is scheduled, and we do not do so, we will be liable for your losses or damages. We will then have your rights, if any, against the person who was paid. If the person who was paid was entitled to be paid, we may charge that amount to your account after learning of that fact. You covenant, represent and warrant that no subscription for the Products shall be activated for or used by your Customers before the Customer agrees to the Terms of Use or Service.   • Agreements with Subcontractors Business Associate shall enter into a Business Associate Agreement with any Subcontractor to whom it provides PHI received from Covered Entity or created or received by Business Associate on behalf of Covered Entity in which the Subcontractor agrees to the same restrictions and conditions that apply through this Agreement to Business Associate with respect to such PHI. Business Associate must enter into this Business Associate Agreement before any use by or disclosure of PHI to such agent. The written agreement must identify Covered Entity as a direct and intended third party beneficiary with the right to enforce any breach of the agreement concerning the use or disclosure of PHI. Business Associate shall provide a copy of the Business Associate Agreement it enters into with a subcontractor to Covered Entity upon request. Business associate may not make any disclosure of PHI to any Subcontractor without prior written consent of Covered Entity.

  • Agreements with Regulatory Agencies Except as set forth on Schedule E, neither the Company nor any Company Subsidiary is subject to any material cease-and-desist or other similar order or enforcement action issued by, or is a party to any material written agreement, consent agreement or memorandum of understanding with, or is a party to any commitment letter or similar undertaking to, or is subject to any capital directive by, or since December 31, 2006, has adopted any board resolutions at the request of, any Governmental Entity (other than the Appropriate Federal Banking Agencies with jurisdiction over the Company and the Company Subsidiaries) that currently restricts in any material respect the conduct of its business or that in any material manner relates to its capital adequacy, its liquidity and funding policies and practices, its ability to pay dividends, its credit, risk management or compliance policies or procedures, its internal controls, its management or its operations or business (each item in this sentence, a “Regulatory Agreement”), nor has the Company or any Company Subsidiary been advised since December 31, 2006 by any such Governmental Entity that it is considering issuing, initiating, ordering, or requesting any such Regulatory Agreement. The Company and each Company Subsidiary are in compliance in all material respects with each Regulatory Agreement to which it is party or subject, and neither the Company nor any Company Subsidiary has received any notice from any Governmental Entity indicating that either the Company or any Company Subsidiary is not in compliance in all material respects with any such Regulatory Agreement. "Appropriate Federal Banking Agency" means the “appropriate Federal banking agency” with respect to the Company or such Company Subsidiaries, as applicable, as defined in Section 3(q) of the Federal Deposit Insurance Act (12 U.S.C. Section 1813(q)).

  • Monitoring Arrangements 8.1 We will formally monitor the progress of the access agreement at least once a year through the Executive Group who report biannually to the Steering Group. Initial monitoring will be concerned with participation rates and the development of data on lower income and other under-represented groups, against which to monitor. When specific baselines, targets, and milestones are determined we will look to monitor against these.

  • Billing Arrangements Unless otherwise agreed to in writing, you will receive a consolidated bill from the LDU for each billing period containing both the electric supply services provided by Starion and the services provided by your LDU. Your LDU will set your payment due date and payment address. You will continue to make payment for all of these services to the LDU in accordance with the payment terms stated in the LDU’s tariffs. Xxxxxxx’s charges are due when the LDU’s charges are due. Customer agrees to timely review its invoices and agrees that subject to applicable tariff and law, unless notice is given to Starion within ninety (90) days of the invoice date, all invoiced amounts will be deemed by you to be correct and Customer shall waive any right to dispute amounts set forth on such invoice. We reserve the right to assume any and all billing responsibility, including the LDU’s charges, if necessary. If we assume billing responsibility, we will follow the applicable Uniform Business Practices Act (UBP) and Home Energy Fair Practices Act (HEFPA), and the following provisions will apply: a $30 fee may be assessed for all returned payments; if you pay a lesser amount than is due, even if you designate it as a full payment, our acceptance of the payment is without prejudice to any other rights or remedies we may have, and you agree we may disregard your designation and apply the payment as a partial payment to your account; and if payments are returned two (2) times in a 12-month period, we may demand payment be made using a money order, certified check or electronic funds transfer.
