Use of Fire Stairs. So long as permitted by applicable Laws, including applicable building and fire codes and requirements, and subject to any rules and regulations reasonably adopted by Landlord from time to time as permitted hereunder, Tenant may at its sole cost and expense at all times during the Term (i) use the fire exit stairways for travel between and among the thirty-third (33rd) and thirty-fourth (34th) floors of the Building in which the Premises are located, and (ii) upgrade Building standard improvements therein in accordance with the terms of the Workletter or, if not included as part of the initial Tenant’s Work hereunder, then pursuant to Section 5 hereof (which stairway improvements may include, without limitation, the installation of a card reader or other security system exclusively for Tenant’s use, so long as the same is compatible with the Building’s fire and life-safety and security systems, which card reader or other security system may be tied in to the Building’s security systems at Tenant’s sole cost), as well as installation of drywall, carpeting (if permitted by Laws), paint of Tenant’s choice, and light fixtures (collectively, the “Stairway Improvements”), all subject to and in accordance with all applicable Laws. Tenant shall ensure that all stairwell entry doors to the Premises shall remain closed and locked at all times (except for access by means of the approved security system). Tenant expressly acknowledges and agrees that Landlord shall have no additional responsibility for security within such stairway areas (other than Landlord’s general obligation to provide security services for the Building as set forth herein) due to Tenant’s use thereof in accordance with this Subsection 4.1. In addition to the foregoing, but subject to the applicable terms and provisions of this Lease, Tenant shall be permitted, at Tenant’s sole cost and expense and so long as the same is otherwise compatible with the Building’s general security system, to connect Tenant’s security system for the Premises to the Building’s general security system for the purpose of emergency situations only; provided, Tenant shall be responsible for coordinating with Landlord and, if applicable, Landlord’s designated security contractor in connection therewith.

Use of Fire Stairs. Tenant shall have the right to use for routine access amongst the floors on which the Premises are located either or both of the fire stairs of the Building and, incident thereto, shall have the right to install either or both a card-key access system and an alarm system with respect to the doors providing access between the Premises 106 118 on the fire stairs; provided, however, Tenant's right to use the fire stairs, or to install any card-key or alarm system, shall be subject to the same being in compliance with all laws and requirements of public authorities.

Use of Fire Stairs. So long as permitted by applicable Laws, including building and fire codes and requirements, Tenant, at its sole cost and expense at all times during the Term of this Lease (i) may use the fire exit stairways for travel between and among contiguous floors of the Building on which the Premises are located (but in no event shall Tenant be allowed to use such stairways for travel to or through a floor no part of which is included in the Premises except in emergency situations), and (ii) with Landlord’s prior approval (such approval not to be unreasonably withheld), may upgrade Building standard improvements therein in accordance with the terms of Article 8 hereof (including installation of a card reader or other system exclusively for Tenant’s use, as well as installation of drywall, carpeting, paint of Tenant’s choice, and light fixtures in accordance with all applicable codes). Tenant expressly acknowledges and agrees that Landlord shall have no obligation to provide security services in the areas of the fire exit stairways and Landlord shall not be liable for loss or damage to person or property sustained by Tenant or any other person due to the use thereof. If Tenant uses such fire exit stairways pursuant to this Paragraph 6(K), Tenant shall cause the insurance it is required to maintain pursuant to Paragraph 11(B) below to cover any such use by Tenant and Tenant’s employees, agents, contractors and invitees.

The Advisor may require the Fund to cease using “BlackRock” in the name of the Fund if the Fund ceases to employ, for any reason, the Advisor, any successor thereto or any affiliate thereof as investment advisor of the Fund.

  • Incorporation of Terms of Plan The Option is subject to the terms and conditions of the Plan which are incorporated herein by reference. In the event of any inconsistency between the Plan and this Agreement, the terms of the Plan shall control.

  • Use of Facility The Facility will be used for the purposes specified in the Recital.

  • Use of Funds Use any of the proceeds of any credit extended hereunder except for the purposes stated in Article I hereof.

At any time during the 30-day period commencing on the date of such notice, provided that all available Diligence Information regarding an Additional Product has been provided within [***] days following such notice (the “Review Period”), Proprius, at its sole discretion, may exercise its right of first negotiation with respect to such Additional Product by delivering written notice of exercise to ORGENTEC. If Proprius exercises such right of first negotiation prior to expiration of the Review Period, the parties shall negotiate in good faith for up to an additional [***] days (the “Negotiation Period”) regarding the terms upon which ORGENTEC would exclusively license such Additional Product to Proprius in the Field in the Territory. Until the expiration of the Negotiation Period with respect to an Additional Product, ORGENTEC shall negotiate exclusively with Proprius regarding the grant of a license with respect to such Additional Product. If Proprius does not exercise its right of first negotiation with respect to an Additional Product prior to expiration of the Review Period, or if Proprius exercises such right of first negotiation with respect to an Additional Product but the Negotiation Period expires without the parties having entered into a definitive written license agreement with respect to such Additional Product, then ORGENTEC shall be free to offer such Additional Product to, and to negotiate and enter into a license with, any Third Party with respect to such Additional Product in the Field in the Territory, except that ORGENTEC shall not license such Additional Product to any Third *** Certain information on this page has been omitted and filed separately with the Securities and Exchange Commission.   • Use of Name (a) The Sub-Adviser hereby consents to the use of its name and the names of its affiliates in the Fund’s disclosure documents, shareholder communications, advertising, sales literature and similar communications. The Sub-Adviser shall not use the name or any tradename, trademark, trade device, service xxxx, symbol or any abbreviation, contraction or simulation thereof of the Adviser, the Trust, the Fund or any of their affiliates in its marketing materials unless it first receives prior written approval of the Trust and the Adviser.
