Swiss Collateral Documents definition

Swiss Collateral Documents means each of the Swiss Collateral Agreements, and each other security agreement, pledge, debenture, mortgage or other instrument or document, as applicable, governed by Swiss law in connection with this Indenture and the Agreed Security Principles to secure the applicable Notes Obligations.
Swiss Collateral Documents has the meaning assigned to such term in Section 11.08.
Swiss Collateral Documents means the Swiss law governed bank account pledge agreement (Bankkontoverpfändung), IP pledge agreement (IP Verpfändung), receivables assignment agreement (Sicherungszession), Control Agreement and Security By Control Agreement, in each case, to be executed and delivered on the Initial Convertible Loan Disbursement Date, in each case, in form and substance reasonably acceptable to the Agent.

Examples of Swiss Collateral Documents in a sentence

  • Within 30 days after the Effective Date (or such longer period as the Lender shall agree in writing), the Borrower shall deliver, or cause to be delivered: (a) each Collateral Access Agreement required to be provided pursuant to the Security Agreement; and (b) Swiss Collateral Documents, in form and substance reasonably satisfactory to the Lender, granting to the Lender a Lien on the Swiss Borrower’s bank accounts.

  • Each Secured Party (other than the Collateral Agent) appoints the Collateral Agent to act as its agent under and in connection with the Swiss Collateral Documents.


More Definitions of Swiss Collateral Documents

Swiss Collateral Documents means, collectively, the Swiss Share Pledge Agreements, the Swiss Account Pledge Agreements and the Swiss Receivables Assignment Agreements.
Swiss Collateral Documents means any Collateral Document governed by the laws of Switzerland.
Swiss Collateral Documents means (i) that certain Security Assignment Agreement (including any and all supplements thereto), dated as of the date hereof, among the Swiss Borrower as assignor and the Lender as assignee, regarding the security assignment of the Swiss Borrower’s trade receivables, (ii) that certain Intellectual Property Rights Pledge Agreement (including any and all supplements thereto), dated as of the date hereof, among the Swiss Borrower as pledgor and the Lender as pledgee, regarding the pledge of the Swiss Borrower’s intellectual property rights, and (iii) that certain Bank Account Pledge Agreement (including any and all supplements thereto), dated as of the date set forth therein, among the Swiss Borrower as pledgor and the Lender as pledgee, regarding the pledge of the Swiss Borrower’s bank accounts, in each case as may be amended, restated, supplemented or otherwise modified from time to time.

Swiss Collateral Documents means each of the following documents: the share pledge agreement over the shares in Audatex Holding GmbH; the share pledge agreement over the shares in each Audatex GmbH, Audatex (Schweiz) GmbH and Audatex Systems GmbH; the fiduciary assignment agreement and declaration of assignment regarding certain assets and claims of Audatex Holding GmbH, Audatex GmbH, Audatex (Schweiz) GmbH and Audatex Systems GmbH; the pledge agreement regarding intellectual property rights of Audatex Holding GmbH, Audatex GmbH, Audatex (Schweiz) GmbH and Audatex Systems GmbH; the trademark pledge regarding trademarks of each Audatex Holding GmbH, Audatex GmbH, Audatex (Schweiz) GmbH and Audatex Systems GmbH; all substantially in the form of Exhibit I-6 of the Existing First Lien Credit Agreement, the Effective Date Swiss Collateral Document, and any other document executed by Holdings or any of its Subsidiaries and governed by the laws of Switzerland pursuant to which such person has granted a Lien to secure any of the Secured Obligations (as defined therein), as any of the foregoing has been or may be amended, restated, supplemented or otherwise modified from time to time.
