ABL Collateral Agent definition

ABL Collateral Agent means JPMorgan Chase Bank, N.A., in its capacity as collateral agent for the ABL Facility Secured Parties, together with its successors and permitted assigns under the ABL Facility Agreement and the ABL Facility Collateral Documents.

ABL Collateral Agent means the “Collateral Agent” as defined in the ABL Credit Agreement.

ABL Collateral Agent means Bank of America, in its capacity as collateral agent for the lenders and other secured parties under the ABL Credit Agreement and the other ABL Documents entered into pursuant to the ABL Credit Agreement, together with its successors and permitted assigns under the ABL Credit Agreement exercising substantially the same rights and powers; and in each case provided that if such ABL Collateral Agent is not Bank of America, such ABL Collateral Agent shall have become a party to this Agreement and the other applicable ABL Security Documents.

• During the period of actual use, occupation or control by the ABL Collateral Agent (the “Access Period”) of any Term Loan Priority Collateral, the ABL Secured Parties shall be obligated to repair at their expense any physical damage (ordinary wear-and-tear excepted) to such Term Loan Priority Collateral resulting from such use, occupation or control to leave the property in substantially the same condition as it was at the commencement of the Access Period.

• The ABL/Term Loan Intercreditor Agreement contains similar provisions regarding the rights of the Term Loan Collateral Agents and the holders of Term Loan Obligations and restrictions upon the ABL Collateral Agent with respect to the Term Loan Priority Collateral and holders of ABL Obligations.

• The ABL Collateral Agent shall have the exclusive right to enforce rights, exercise remedies (including set off) and make determinations regarding the disposition of the ABL Priority Collateral without any consultation with or the consent of any Term Loan Collateral Agent or any Term Loan Secured Party.

ABL Collateral Agent means Citibank, N.A. and any successor collateral agent under the ABL Facility, or if there is no ABL Facility, the “ABL Collateral Agent” designated pursuant to the terms of the ABL Lenders Debt.

ABL Collateral Agent means Bank of America, N.A., in its capacity as administrative agent under the ABL Credit Agreement.

ABL Collateral Agent means, with respect to ABL Obligations under any ABL Document, one of the following: (a) the applicable collateral agent (or similar agent party) in its capacity as collateral agent (or similar agent) under such ABL Document, (b) the ABL Lender if acting as sole lender thereunder, or (c) any Person or Persons acting in an administrative agent capacity thereunder, and in each case its or their successors and assigns in such capacity.

ABL Collateral Agent means the collateral agent under the ABL Facility.

ABL Collateral Agent shall have the meaning assigned that term in the Intercreditor Agreement.

ABL Collateral Agent means Xxxxx Fargo Bank, National Association, as collateral agent under the ABL Facility for the benefit of the lenders thereunder, and its successors and assigns including any replacement or successor agent.
